                    Mijnheer de voorzitter, mijnheer de minister, collega's, het voorliggend wetsontwerp strekt ertoe de richtlijn 98/5/EG van 16 februari 1998 van het Europees Parlement en de Raad ter vergemakkelijking van de permanente uitoefening van het beroep van advocaat in een andere lidstaat dan die waar de beroepskwalificatie is verworven naar Belgisch recht om te zetten. 

Het wetsvoorstel van de heer Bourgeois streeft hetzelfde doel na en werd aan het ontwerp toegevoegd.

De omzetting van deze richtlijn is de laatste fase inde realisatie van het vrije verkeer van advocaten in de Europese Unie. Met het oog op de omzetting van de richtlijn worden een aantal bepalingen van het Gerechtelijk Wetboek gewijzigd en aangevuld.

Het wetsontwerp en ook het wetsvoorstel bevatten twee grote delen. Een eerste reeks bepalingen zorgt ervoor dat een onderdaan van een lidstaat van de Europese Unie die in deze lidstaat gerechtigd is de titel te voeren die overeenkomt met die van advocaat dat beroep ook in België kan uitoefenen, weliswaar onder zijn oorspronkelijke beroepstitel. Deze advocaten zullen zich moeten inschrijven op een ad-hoclijst bij een Belgische balie en moeten hun inschrijving in het land van herkomst handhaven.

Een tweede reeks wijzigingen van de bepalingen van het Gerechtelijk Wetboek maakt het de advocaten van een EU-lidstaat gemakkelijker om de titel van advocaat in België te kunnen voeren en, met het oog hierop, om hun inschrijving op het tableau van de Orde van advocaten te kunnen verzoeken. Kortom, op deze manier wordt het voor de EU-advocaten gemakkelijker om zich in België te vestigen Voortaan zullen deze advocaten immers vrijgesteld worden van de voorwaarden tot toetreding, ingesteld bij artikel 428bis van het Gerechtelijk Wetboek op voorwaarde dat zij een daadwerkelijke en regelmatige werkzaamheid van minimum drie jaar in België op het gebied van Belgisch recht en gemeenschapsrecht kunnen aantonen. Als deze advocaten dergelijke werkzaamheden op het gebied van Belgisch recht en gemeenschapsrecht niet kunnen aantonen, moet een onderhoud met de stafhouder van de betrokken Orde plaatsvinden.

Naar aanleiding van de bespreking in de commissie over de problematiek van de multidisciplinaire vennootschappen werd een hoorzitting georganiseerd met de heer Van Doosselaere om zijn visie terzake te kennen. Betrokkene deelde mee zich volledig te kunnen vinden in de regeling uitgewerkt in het wetsontwerp van de regering. Hij pleitte er in de commissie dan ook voor om de beslissing EUadvocaten te verbieden deel uit te maken van multidisciplinaire groepen in België over te laten aan de afzonderlijke raden van Orden in plaats van het in een absoluut wettelijk verbod om te zetten zoals voorzien in het wetsvoorstel van collega Bourgeois.

Over deze materie werden eveneens de standpunten van de Vereniging van Vlaamse balies, van de Franse Orde van advocaten bij de balie van Brussel, van de Conférence des barreaux francophones et germanophones en van stafhouder Lange schriftelijk ingewonnen. De Vereniging van Vlaamse balies opteert resoluut voor de instelling van een wettelijk verbod van deelname aan multidisciplinaire groepen. De Franse Orde van advocaten bij de balie van Brussel daarentegen steunt het ontwerp van de regering. De Conférence des barreaux francophones et germanophones liet de commissie voor de Justitie weten dat zij nog maar pas een werkgroep terzake had opgericht die een standpunt moet bepalen. Stafhouder Lange deelde mee dat het CCBE zich steeds formeel heeft uitgesproken tegen de multidisciplinaire groepen.

Naast een aantal technische amendementen diende de heer Bourgeois twee amendementen in die ertoe strekten wettelijk te verbieden dat een advocaat zijn beroep zou uitoefenen in een multidisciplinaire groep. Deze twee amendementen werden verworpen met 9 tegen 5 stemmen en 1 onthouding.

Het gehele, gewijzigde ontwerp werd goedgekeurd met 10 stemmen en 5 onthoudingen. Het toegevoegde wetsvoorstel-Bourgeois werd vervallen verklaard.

Directive 98/5/EC of the European Parliament and of the Council of 16 February 1998 facilitating the permanent exercise of the profession of lawyer in a Member State other than that in which the professional qualification was acquired. Their

Mr. Bourgeois’s bill pursues the same objective and was added to the draft.

The transposition of this Directive is the final stage in the realization of the free movement of lawyers in the European Union. In order to transpose the Directive, a number of provisions of the Judicial Code are amended and supplemented.

The draft law and the draft law also contain two major parts. A first set of provisions ensures that a national of a Member State of the European Union who is entitled in that Member State to hold the title equivalent to that of a lawyer may also exercise that profession in Belgium, though under his original professional title. These lawyers will have to register on an ad hoc list with a Belgian law firm and must maintain their registration in the country of origin.

A second series of amendments to the provisions of the Judicial Code makes it easier for lawyers of an EU Member State to hold the title of lawyer in Belgium and, for this purpose, to apply for their registration on the board of the Bar Association. In short, this will make it easier for EU lawyers to establish themselves in Belgium In the future, these lawyers will be exempted from the conditions of accession, established by Article 428bis of the Judicial Code, provided that they can demonstrate an effective and regular activity of at least three years in Belgium in the field of Belgian law and Community law. If these lawyers cannot demonstrate such work in the field of Belgian law and Community law, an interview with the staff holder of the relevant Order shall take place.

Following the discussion in the committee on the problem of multidisciplinary companies, a hearing was organized with Mr. Van Doosselaere to know his view on the subject. The interested party shared that they could fully find themselves in the arrangement drawn up in the government’s bill. He therefore advocated in the committee that the decision to prohibit EU lawyers from being part of multidisciplinary groups in Belgium be handed over to the separate councils of Orden instead of converting it into an absolute legal ban as provided for in the bill proposed by colleague Bourgeois.

On this subject, the views of the Association of Flemish Balais, of the French Order of Lawyers at the Brussels Balais, of the Conférence des barreaux francophones et germanophones and of staff holder Lange were also obtained in writing. The Association of Flemish Balais resolutely opts for the introduction of a legal ban on participation in multidisciplinary groups. On the other hand, the French Bar Association of Lawyers at the Brussels Bar of Brussels supports the government’s draft. The Conférence des barreaux francophones et germanophones informed the Committee on Justice that it had just established a working group on this subject to determine a position. Staff holder Lange said that the CCBE has always formally expressed itself against the multidisciplinary groups.

In addition to a number of technical amendments, Mr Bourgeois submitted two amendments aiming to legally prohibit a lawyer from exercising his profession in a multidisciplinary group. These two amendments were rejected by 9 votes against 5 and 1 abstinence.

The entire amended draft was approved with 10 votes and 5 abstentions. The added Bill-Bourgeois was declared invalid.

                    Mijnheer de voorzitter, mijnheer de minister, collega's, dit wetsontwerp zet de richtlijn 98/5 van 16 februari 1998 ter vergemakkelijking van de permanente uitoefening van het beroep van advocaat in een andere lidstaat eindelijk om in ons positief recht. Dit had eigenlijk reeds lang moeten gebeurd zijn, namelijk uiterlijk op 14 maart 2000.

Mijnheer de minister, wij zijn inderdaad laat met de omzetting van een aantal richtlijnen. In december 1999 heeft een regeringscommissaris nog de bijkomende opdracht gekregen de achterstand op dit terrein zeer spoedig in te halen. Zoals we weten is de heer Willockx inmiddels echter burgemeester geworden en hebben we er het raden naar of die fameuze achterstand werd verkort. Het is in ieder geval een zoveelste voorbeeld van een laattijdige omzetting van een richtlijn, die nochtans een directe werking heeft.

Onze fractie heeft geprobeerd daar zelf wat aan te doen. Reeds op 29 maart 2000 hebben we een wetsvoorstel ingediend. We hebben herhaaldelijk tevergeefs geprobeerd het op de agenda te plaatsen en het te laten bespreken. Het is ons niet gelukt. De regering heeft uiteindelijk zelf laattijdig een ontwerp ingediend, met name op 26 februari 2001; beter laat dan nooit. In ieder geval kan men dit wetsontwerp positief noemen, want het is de laatste noodzakelijke stap voor de realisatie van het vrije verkeer van advocaten binnen de Unie.

Ik herinner eraan dat dit stapsgewijze is gebeurd. Er bestaat een richtlijn van 1977 die het vrij verkeer van diensten binnen de Unie organiseert en die bij wet werd omgezet in 1982, bijna twintig jaar geleden. Er bestaat een richtlijn van 1989 die ertoe leidt dat de diploma's van het hoger onderwijs binnen de Unie worden erkend, maar die dode letter bleef zolang hij niet in ons positief recht werd omgezet.

Dit ging niet zo gemakkelijk voor de advocatuur. België heeft in 1998 een koninklijk besluit uitgevaardigd waarbij de vrije vestiging van een bekwaamheidsexamen afhankelijk werd gemaakt. Dit belette echter niet dat deze richtlijn hier nog moest worden omgezet, wat bij deze zal gebeuren, althans indien de Senaat akkoord gaat en geen vertraging meer veroorzaakt, want het is het ontwerp 77, mijnheer de voorzitter.

De bepaling in deze regeling over de multidisciplinaire vennootschap vinden wij echter minder positief. Collega Vandeurzen, de rapporteur die ik bij deze dank, heeft immers reeds gewezen op een belangrijk punt van discussie: laat de wetgever al dan niet toe dat er zogenaamde multidisciplinaire vennootschappen worden opgericht? Het gaat hierbij onder meer over advocaten, accountants en revisoren. Naar onze mening moet de wetgever dit regelen.

De wetgever kon ieder geval niet voorbijgaan aan deze aangelegenheid, want volgens een bepaling van de richtlijn mag er niet worden gediscrimineerd tussen de advocaten van het land van ontvangst, in casu België, en de advocaten van een andere lidstaat. Hier laat de wetgever een en ander over aan de Orde van advocaten. Deze stelling werd verdedigd door de Franstalige advocaten en de Franstalige advocaten uit Brussel, terwijl de Vereniging van Vlaamse Balies, samen met de Europese CCBE, van oordeel is dat er een verbod op de multidisciplinaire vennootschappen moet komen.

Dit is ook ons standpunt, want wij zijn van mening dat de multidisciplinaire vennootschap een gevaar inhoudt voor belangenconflicten, voor de onafhankelijkheid van de advocaat en voor het beroepsgeheim.

Op die manier wordt ook een stap gezet naar de verdere mercantilisering van dat vrije beroep. Ons standpunt heeft het niet gehaald.

Overigens is de wetgever terzake niet helemaal coherent. Wij hebben destijds — toen stond de SP met ons op één lijn — terecht een verbod op de multidisciplinaire vennootschap in de wet op het notariaat ingeschreven. Bovendien zijn er voorstellen om een gelijkaardig verbod in te voegen in de op stapel staande wetgeving inzake de revisoren of minstens een scheiding in te voeren tussen auditing en consulting. Daar waren immers een aantal nare ervaringen mee. Vandaar dat wij consequent hebben gepleit voor een verbod in onderhavige wet.

De verwijzing naar het zogezegde verbod van de nationale Orde van Advocaten overtuigt ons helemaal niet. Trouwens, de Franstalige Brusselse balie laat de toetreding tot multidisciplinaire middelen vennootschappen toe. Straks zullen de Nederlandstalige en de Franstalige ordes gemachtigd zijn zelf hierin te reglementeren, wat een tegenstrijdige regeling tot gevolg kan hebben en niet strookt met de richtlijn.

Om die redenen zullen wij het ontwerp niet goedkeuren en zullen wij ons bij de stemming onthouden.

This bill finally translates the Directive 98/5 of 16 February 1998 to facilitate the permanent exercise of the profession of lawyer in another Member State into our positive law. In fact, this should have happened for a long time, namely by 14 March 2000.

We are actually late with the transposition of some directives. In December 1999, a government commissioner was given an additional assignment to remove the backwardness in this area very quickly. As we know, however, Mr. Willockx has now become mayor and we have guessed whether that famous downturn has been shortened. It is, in any case, another example of a late transposition of a directive, which, however, has a direct effect.

Our group has tried to do something about it itself. On 29 March 2000, we submitted a bill. We have repeatedly tried in vain to put it on the agenda and have it discussed. We did not succeed. The government eventually submitted a draft itself late, especially on 26 February 2001; better late than never. In any case, this bill can be called positive, as it is the last necessary step for the realization of the free movement of lawyers within the Union.

I remember that this step has happened. There is a 1977 Directive which regulates the free movement of services within the Union and which was transposed by law in 1982, almost twenty years ago. There is a 1989 directive leading to the recognition of higher education degrees within the Union, but that dead letter remained until it was translated into our positive right.

This was not so easy for the lawyer. Belgium issued a royal decree in 1998 which made the free establishment conditional on a proficiency exam. However, this did not prevent this directive from being transposed here, which will happen here, at least if the Senate agrees and does not cause any further delay, because it is the draft 77, Mr. Speaker.

However, we find the provision in this regulation on the multidisciplinary company less positive. Collega Vandeurzen, the rapporteur to whom I thank in this way, has already pointed out an important point of discussion: does the legislator allow or not to allow the creation of so-called multidisciplinary companies? These include lawyers, accountants and auditors. We believe that the legislature should regulate this.

In any case, the legislator could not ignore this issue, since, according to a provision of the Directive, there should be no discrimination between the lawyers of the host country, in the present case Belgium, and the lawyers of another Member State. Here, the legislator leaves something to the Order of Lawyers. This statement was defended by the French-speaking lawyers and the French-speaking lawyers from Brussels, while the Association of Flemish Balies, together with the European CCBE, is of the opinion that there should be a ban on the multidisciplinary companies.

This is also our position, because we believe that the multidisciplinary company poses a danger of conflicts of interest, for the independence of the lawyer and for professional secrecy.

In this way, it is also a step towards the further mercantilisation of that free profession. Our position has not been achieved.

However, the legislature is not consistent in this regard. At that time — when the SP stood on the same line with us — we rightly inscribed a ban on the multidisciplinary company in the law on the notary. Furthermore, there are proposals to include a similar ban in the ongoing legislation on auditors or at least to introduce a separation between auditing and consulting. After all, there were some bad experiences with it. Therefore, we have consistently advocated for a ban in this law.

The reference to the so-called ban of the National Bar Association does not convince us at all. By the way, the French-speaking Brussels Balie allows access to multidisciplinary resources companies. Later, the Dutch-speaking and French-speaking orders will be authorized to regulate themselves in this, which may result in a conflicting regulation and is not in accordance with the directive.

For these reasons, we will not approve the draft and will abstain from voting.

                    Mijnheer de voorzitter, kort gezegd gaat het hier om de bevestiging van een koninklijk besluit waarmee bepaald wordt hoeveel de houders van de vergunningen A tot E precies moeten betalen om de werking van de kansspelcommissie te financieren. Tijdens de vergadering werd een debat gehouden over de briefwisseling tussen de minister en de procureur-generaal van Gent.
