                    Mijnheer de voorzitter, mevrouw de minister, mijnheer de staatssecretaris, collega’s, er zit vaart in de boeken van economisch recht. Het Wetboek van economisch recht omvat 17 boekdelen, en de vaart waarmee ze worden behandeld, kunnen wij alleen maar toejuichen.

Het project beoogt de reorganisatie en coördinatie van het economisch recht, om van de bestaande regelgeving een coherent geheel te maken op grond van een globale visie. Het nu voorliggend Boek III handelt over de vrijheid van vestiging, dienstverlening en de verplichtingen van ondernemingen. Voornamelijk de Kruispuntbank van Ondernemingen speelt hierin een centrale rol. Nog vóór het reces komt een aantal andere boeken op ons af. Ook de FOD Economie is reeds begonnen met een informatiecampagne.

Wij hadden gehoopt en gesuggereerd dat van de gelegenheid zou worden gebruikgemaakt om een algemene coördinatie, opkuis en noodzakelijke aanpassingen te doen. De behandeling van het voorliggend boek was het juiste moment en de juiste plaats om een aantal in het regeerakkoord van 1 december 2011 beloofde aanpassingen te doen, zoals de toegang tot het beroep. In de beleidsnota staat meer bepaald: “Vestigingsvoorwaarden: overheveling naar de Gewesten, met een lijst van de beroepen waarvan de toegang federaal blijft.” Daarin was ook bepaald dat de Gewesten zouden vertegenwoordigd worden in de KBO, de Kruispuntbank van Ondernemingen. In dit boekdeel staat daarover niets. Het is een gemiste kans, en dit met nog één jaar te gaan voor deze regering.

In verband met het wetboek zelf, meer bepaald met betrekking tot de KBO, ontbreekt hier de noodzakelijke uniformiteit tussen de inschrijvingen. Er wordt een onderscheid gemaakt tussen, enerzijds, vennootschappen en eenmanszaken en, anderzijds, vzw’s, waaronder bijzonder belangrijke vzw’s, met miljoenen omzet en duizenden werknemers, evenals de vrije beroepen.

Zowel de vennootschappen als de eenmanszaken moeten via het ondernemingsloket passeren en inschrijvingsgeld betalen. Andere worden ambtshalve ingeschreven maar betalen geen inschrijvingsgeld, wel uitschrijvingsgeld wanneer ze hun zaak stopzetten.

Mr. President, Mrs. Minister, Mr. Secretary of State, colleagues, there is speed in the books of economic law. The Code of Economic Law consists of 17 sections, and we can only welcome the speed with which they are dealt with.

The project aims at the reorganization and coordination of economic law, to make the existing regulation a coherent whole based on a global vision. Book III deals with freedom of establishment, freedom of service and the obligations of enterprises. Mainly the cross-border bank of enterprises plays a central role in this. Even before the break, a few other books are coming out. The Ministry of Finance has also launched an information campaign.

We had hoped and suggested that the opportunity would be used to make general coordination, review and necessary adjustments. The examination of the present book was the right time and the right place to make some of the adjustments promised in the government agreement of 1 December 2011, such as access to the profession. The policy note stated more specifically: “Conditions of establishment: transfer to the regions, with a list of professions whose access remains federal.” In this book there is nothing about it. This is a missed opportunity, and this with one more year to go for this government.

With regard to the code itself, and more specifically with regard to the CBO, there is a lack of the necessary uniformity between the tenders. A distinction is made between, on the one hand, companies and individual ⁇ , and, on the other hand, self-employed ⁇ , including ⁇  important self-employed ⁇ , with millions of revenues and thousands of employees, as well as freelancers.

Both the companies and the one-man ⁇  must pass through the enterprise door and pay the registration fee. Others are officially registered but do not pay a registration fee, but withdrawal fee when they terminate their business.

                    Hoe dan ook, dit zijn belangrijke verschillen en die vragen om een uniformisering.

Daarnaast hebben wij een belangrijke bemerking over het ingediende amendement van de regering. In het kader van de bestrijding van de fraude worden ondernemingen die gedurende drie opeenvolgende boekjaren hun jaarrekeningen en balansen niet indienen, ambtshalve geschrapt.

Bijna 30 000 vennootschappen zijn drie jaar na elkaar hun verplichtingen niet nagekomen.

Mijnheer de staatssecretaris, het is een nobel initiatief, ware het niet dat deze bepaling totaal geen zin heeft.

Tijdens de commissievergadering, in aanwezigheid van de minister van Economie, bevestigde de heer Frank De Saer, stafdirecteur ICT bij de FOD Economie, onze bemerking dat deze schrapping alleen een indicatie is. Het btw-nummer blijft bestaan. Het bedrijf kan gewoon blijven voortbestaan en er is juridisch niets aan de hand.

Ik weet dat u het ernstig meent met de bestrijding van fraude. Er bestaan dan ook veel effectievere middelen en efficiëntere maatregelen om dit te doen, met name via de kamers voor handelsonderzoek en via de bevoegdheden die de rechtbanken van koophandel ter zake hebben.

Dit vraagt echter een activering van deze mogelijkheden. U weet, mijnheer de staatssecretaris, dat er rechtbanken zijn die dit strikt en actief toepassen en andere rechtbanken die dit op een andere manier opnemen.

Beste collega’s, er zitten een aantal positieve elementen in deze wetboeken. Wij hebben er ook constructief aan meegewerkt. Drie van de door ons ingediende amendementen werden trouwens ook aangenomen.

Omwille van de bovenvermelde redenen zullen wij ons onthouden.

The VAT number remains. The company can simply continue to exist and there is nothing legally wrong with it.

I know you are serious about fighting fraud. Therefore, there are much more effective means and more efficient measures to do so, in particular through the chambers for trade investigation and through the competences of the trade courts in this regard.

However, this requires the activation of these possibilities. You know, Mr. Secretary of State, that there are courts that apply this strictly and actively and other courts that include it in a different way.

There are some positive elements in these laws. We have also worked constructively. Three of the amendments we submitted were also adopted.

For the above reasons, we will abstain.

                    Mijnheer de voorzitter, mevrouw de minister, geachte collega’s, ik was oorspronkelijk niet van plan om in de bespreking van onderhavig wetsontwerp het woord te nemen, omdat er al voldoende over gezegd werd in de commissie voor het Bedrijfsleven. Het wetsontwerp is daar ruim aan bod gekomen.

Het gaat daarenboven ook om een wetsontwerp waar het Vlaams Belang grosso modo achter kan staan. Het Wetboek van economisch recht, dat hiermee tot stand komt, zal eindelijk zorgen voor een logische opeenvolging van verschillende wetten, die tot nu toe los van elkaar bestonden, zonder al te veel samenhang. Het Wetboek is bedoeld om de rechtszekerheid te versterken. Ook dat is een bezorgdheid die de Vlaams Belangfractie deelt. Het kan de consument alleen maar ten goede komen.

Wij hebben een aantal amendementen gesteund, omdat wij vonden dat er nog verbetering mogelijk was. Collega Uyttersprot, u hebt er een aantal opgesomd. Wij hebben onze vele vragen kunnen voorleggen aan de heer De Saer, stafdirecteur ICT van de FOD Economie, Kmo, Middenstand en Energie. Wij werden uitgebreid en zakelijk van antwoord gediend. Het was een debat zoals een parlementair debat zou moeten zijn.

Ik kom stilaan tot de kern van mijn betoog. Toen ik zelf een amendement indiende om de rechtszekerheid te versterken – het interesseert u blijkbaar niet, mevrouw de minister – ging het over de wetsartikelen die de beroepsaansprakelijkheid behandelen. Ik had de indruk dat het de commissie te doen was om een eerlijke, correcte en juiste politieke besluitvorming. Zelfs minister Vande Lanotte liet weten dat er “juridisch geen enkel bezwaar is om systematisch een aanvullende waarborg te eisen". De minister zei dat hij met het amendement kon instemmen.

We supported a number of amendments because we felt there was still room for improvement. Ladies and gentlemen, you have listed a few of them. We were able to submit our many questions to Mr. De Saer, Chief ICT Officer of FOD Economy, SMEs, Medium and Energy. We were served extensively and commercially. It was a debate like a parliamentary debate should be.

I slowly get to the core of my argument. When I myself submitted an amendment to strengthen legal certainty – you are apparently not interested in it, Mrs. the Minister – it was about the legal articles dealing with professional liability. I had the impression that it was the committee to do a fair, correct and correct political decision-making. Even Minister Vande Lanotte said that “there is no legal objection to systematically demanding additional guarantees.” The Minister said he could approve the amendment.

                    Het betrof dan ook een belangrijke materie. Voor een aantal beroepen is men in ons land wettelijk verplicht om een beroepsaansprakelijkheidspolis te sluiten om schade aan derden te vergoeden. Dat is een wettelijk verplichte beroepsaansprakelijkheid met onder andere wettelijk vastgelegde bedragen en tussenkomstgrenzen.

De wettekst die voorlag, voorzag voor buitenlandse firma’s die zich in België komen vestigen en dus ook een dergelijke polis moeten sluiten, in de mogelijkheid om de waarborgen die zij in het buitenland hadden, op te trekken naar de waarborgen die in België verplicht werden gesteld. Het ging om de mogelijkheid om te voldoen aan wettelijke verplichtingen. Die voorwaardelijkheid stond er volgens mij te veel in en moest eruit. De minister volgde mij hierin.

Het is jammer dat collega Tuybens en minister Vande Lanotte zijn gaan lopen, maar toen begonnen de politieke spelletjes van het cordon sanitaire. Daarom besloot ik om hieromtrent het woord te nemen in de plenaire vergadering. Om het cordon sanitaire staande te kunnen houden, moest men inderdaad een politiek spelletje spelen. Ik vind dat jammer, omdat het gebeurt op de rug van de gebruiker en de ondernemingen. Voor mij is dat onaanvaardbaar.

Als de minister met mijn amendement kon instemmen, dan moet collega Tuybens – nogmaals, het is heel jammer dat hij niet aanwezig is – mij nog steeds een verklaring geven waarom hij zo nodig zelf een amendement moest indienen waarin hij het woord "moet" vervangt door het woord "zal".

Collega Tuybens, hierin gesteund door de meerderheid, is mij nog altijd een verklaring schuldig met betrekking tot het semantisch onderscheid tussen “zullen” en “moeten” en wat het nut van die vervanging precies is voor de ondernemingen.

Zoals collega Tuybens op het einde van de commissievergadering zei, moest het cordon sanitaire in stand worden gehouden. Daarom moest hij mijn amendement naar alle waarschijnlijkheid wegstemmen.

Ik ben echter heel tevreden dat ik mijn amendement heb ingediend en zal dat blijven doen. Immers, had ik mijn amendement niet ingediend, dan zou de meerderheid vandaag een wetsontwerp hebben goedgekeurd waarin rechtsonzekerheid was geslopen. Ik betreur die manier van werken van de meerderheid, die huichelachtig en schijnheilig is. Hoe dan ook, ik herhaal dat ik heel blij ben dat ik mijn amendement heb ingediend.

It is a shame that colleague Tuybens and Minister Vande Lanotte have walked, but then began the political games of the cordon sanitary. Therefore, I decided to speak on this issue in the plenary session. In order to keep the cordon sanitary standing, one really had to play a political game. I find that unfortunate, because it happens on the back of the user and the companies. For me this is unacceptable.

If the minister could agree with my amendment, then colleague Tuybens – again, it is very unfortunate that he is not present – must still give me an explanation why he should, if necessary, himself submit an amendment in which he replaces the word “must” with the word “shall”.

Colleague Tuybens, supported by the majority, still owes me a statement regarding the semantic distinction between “should” and “must” and what the usefulness of that replacement is exactly for the undertakings.

As colleague Tuybens said at the end of the committee meeting, the sanitary cordon had to be ⁇ ined. Therefore, he had to reject my amendment in all likelihood.

However, I am very pleased that I have submitted my amendment and will continue to do so. After all, if I had not submitted my amendment, the majority would have approved a bill today that had crushed legal uncertainty. I regret that way of working of the majority, which is hypocritical and hypocritical. In any case, I repeat that I am very pleased that I submitted my amendment.
