Le texte qui vous est proposé favorise donc le concordat amiable de façon diverse et constituera certainement un progrès. Il prévoit, en termes de procédure, trois points principaux.
Premièrement, la négociation d'un concordat amiable sous le couvert d'un sursis réalisé sous supervision judiciaire. Les quelques mois de répit laissés par cette procédure peuvent grandement faciliter la démarche du débiteur.
Deuxièmement, la procédure de redressement judiciaire par accord collectif, proche de la procédure de concordat existant, mais simplifiant radicalement la procédure en la divisant en deux périodes distinctes, celle du sursis et celle de l'exécution du plan.
La dernière procédure organise le transfert de l'entreprise sous la supervision du pouvoir judiciaire.
Le maintien de l'emploi est un des facteurs déterminant dans le cadre de la procédure de transfert et il en sera largement tenu compte.
Lors de la discussion générale, le gouvernement, et particulièrement le ministre de la Justice, a présenté un amendement n° 1 qui visait à remplacer l'intégralité de la proposition de loi de nos collègues Crucke et Bacquelaine. Cet amendement qui a été présenté par le représentant du ministre est l'aboutissement du travail réalisé par un groupe composé d'experts qui avait pour tâche principale de régler certains problèmes soulevés dans la présente proposition, mais aussi de l'adapter suite à l'avis rendu par le Conseil d'État sur l'avant-projet déposé sous la précédente législature par Mme Onkelinx.
L'amendement faisant l'objet du texte actuel a pris en compte les observations émises par les différents experts mais aussi par le Conseil d'État, la jurisprudence récente et les professionnels du monde judiciaire.
Les principales modifications portent sur une souplesse accrue, nécessaire pour l'ouverture d'une procédure de réorganisation judiciaire, la mise en place de garanties supplémentaires pour éviter toute utilisation abusive de la procédure en vue d'ouvrir une réorganisation judiciaire, la possibilité accrue de passer d'un instrument à un autre, à savoir la réorganisation judiciaire par accord amiable, par accord collectif et par transfert sous contrôle judiciaire.
Lors des questions soulevées par les membres de la commission, M. Crucke, pour le groupe MR, a tenu à souligner une nouvelle fois l'importance de la réorganisation judiciaire pour les entreprises, tant pour les investisseurs et les entrepreneurs que pour les travailleurs. Selon lui, les divers problèmes mis en lumière par les auditions ont, grâce au groupe d'experts, pu trouver des solutions.

The text proposed to you therefore promotes the amicable concordat in various ways and will ⁇ constitute a progress. It provides, in terms of procedure, three main points.
First, the negotiation of an amicable concordat under the cover of a suspension under judicial supervision. The few months of rest left by this procedure can greatly facilitate the debtor’s process.
Secondly, the judicial recovery procedure by collective agreement, close to the existing concordat procedure, but radically simplifying the procedure by dividing it into two separate periods, the suspension and the execution of the plan.
The last procedure organizes the transfer of the company under the supervision of the judiciary.
Maintenance of employment is one of the determining factors in the transfer procedure and will be widely taken into account.
During the general discussion, the government, and in particular the Minister of Justice, submitted amendment No. 1, which aimed to replace the entire bill of our colleagues Crucke and Bacquelaine. This amendment, which was submitted by the Minister’s representative, is the conclusion of the work carried out by a group of experts whose main task was to resolve certain problems raised in this proposal, but also to adapt it following the opinion given by the State Council on the preliminary draft submitted in the previous legislature by Ms. Onkelinx.
The amendment that is the subject of the current text has taken into account the observations made by the various experts but also by the State Council, recent jurisprudence and the professionals of the judiciary.
The main changes include increased flexibility necessary for the opening of judicial reorganization proceedings, the introduction of additional safeguards to avoid any misuse of the procedure in order to open judicial reorganization, the increased possibility of switching from one instrument to another, namely judicial reorganization by amicable agreement, by collective agreement and by transfer under judicial control.
In the questions raised by the members of the Committee, Mr. Crucke, for the MR group, wanted to emphasize once again the importance of judicial reorganization for companies, both for investors and entrepreneurs and for workers. According to him, the various problems highlighted by the hearings have, thanks to the expert group, been able to find solutions.

Le groupe MR soutient donc pleinement l'amendement n°1 découlant des discussions au sein du groupe d'experts et a indiqué qu'il était positif que cet amendement amène plus de souplesse car, grâce aux aménagements prévus, la procédure sera plus facilement applicable en pratique. M. Crucke a également souligné l'importance de préserver l'équilibre des droits entre les différentes parties concernées.
Le collègue De Potter, pour le groupe CD&V, s'est également réjoui du dépôt de l'amendement n°1 qui exprime la volonté des partenaires sociaux de conclure un accord permettant aux différents intervenants de concilier leurs intérêts. Il a insisté sur l'importance de cette réforme en matière de concordat au vu du succès très mitigé de la loi de 1997. Selon lui, les points essentiels du projet sont: la souplesse, la modification du terme de "concordat" par celui de "réorganisation", ce qui permet d'éviter une connotation souvent négative, les différentes possibilités dont va disposer une entreprise avant et pendant la procédure, la souplesse offerte au repreneur, mais aussi le maintien des droits des salariés qui découlent des compromis conclus entre partenaires sociaux. M. De Potter se dit convaincu que cette nouvelle réglementation constitue une réelle avancée et qu'elle peut être utile pour les entreprises en difficulté tout en évitant des problèmes sociaux trop aigus. Le groupe CD&V soutiendra donc l'amendement n°1
M. Bonte, qui est intervenu pour le groupe sp.a+Vl.Pro, a tenu à insister sur le fait, qu'à ses yeux, les entreprises en difficulté disparaissent trop vite et qu'il est donc important de soutenir tout texte législatif visant à remédier à ce problème. Il a insisté sur le manque de garantie en vue d'arriver à un équilibre réel entre les intérêts des employeurs et des salariés. Il a noté qu'un certain arbitraire subsiste toujours dans le chef du repreneur quant au choix des salariés à conserver. Ce manque de clarté, pourrait donc, selon lui, amener les salariés à s'adresser aux tribunaux. M. Bonte est également revenu sur la possibilité qui est donnée au travailleur et à l'employeur de modifier des conditions de travail individuelles et sur le fait que cela peut miner totalement une convention collective modifiée suite au transfert d'entreprise, ce qui risquerait d'amener une concurrence interne entre les travailleurs. Pour M. Bonte, il est difficilement envisageable que les syndicats puissent donner leur accord à un tel règlement. Toutefois, il s'est dit satisfait que l'article 61 visé à l'amendement n°1 ne soit qu'une mesure transitoire dans l'attente d'une convention collective au sein du Conseil national du travail, même s'il s'inquiète du fait que lorsque la mesure transitoire sera devenue loi, il ne sera sans doute plus question de conclure une convention collective, la mesure étant, selon lui, trop avantageuse pour les employeurs.

Mme Déom, pour le groupe socialiste, souscrit également à l'amendement n°1 qui offre plus de souplesse aux entreprises en difficulté en vue de poursuivre leurs activités. Elle insiste sur le compromis acceptable, tant pour les salariés que pour les travailleurs en attendant une convention collective, que représente l'amendement.
Mme Déom estime que cette convention collective pourra affiner dans le futur les droits des travailleurs et qu'il sera donc possible de déroger aux dispositions transitoires légales. Elle insiste sur le fait que cet amendement tient compte des demandes du groupe socialiste, notamment en ce qui concerne une reprise proportionnelle de représentants du personnel en cas de reprise.
Elle se réjouit que le cédant ou le mandataire de justice soit tenu d'informer candidat cessionnaire par écrit de toutes les obligations qui se rapportent aux travailleurs concernés par le transfert mais aussi de toutes les actions existantes que ces travailleurs auraient intentées contre l'employeur et qu'il notifie aux travailleurs individuellement les obligations existant à leur égard.
Mme Déom affirme que la sécurité juridique des parties concernée est garantie par la possibilité de demander, par requête au tribunal du travail, l'homologation de transfert projetée.
Pour le groupe Ecolo-Groen!, Mme Gerkens demande des précisions quant à la date exacte à laquelle l'accord entre les partenaires sociaux a été conclu et sur quelles bases il l'a été. Elle estime que certaines dispositions manquent de clarté et donne comme exemple les articles 49 et 57. Mme Gerkens soutient la proposition de M. Bonte de soumettre encore une fois le texte de l'amendement n° 1 pour avis au Conseil national du travail, au sein duquel les partenaires sociaux sont représentés.
M. Logghe, pour le Vlaams Belang, loue la proposition de loi et l'amendement n°1 qui peuvent apporter une contribution positive à de nombreuses entreprises en difficulté. Pour lui, l'accent est mis sur la continuité et la rentabilité de l'entreprise et l'allongement de certains délais lui paraît constituer un avantage. Pour M. Logghe, certains points qui posaient problème ont été réglés, comme l'avait annoncé précédemment le ministre de la Justice, mais d'autres restent sans solution.
Il cite notamment le fait qu'il serait important de mieux régler la question du concours des créanciers, qu'il serait intéressant d'élaborer une procédure de réorganisation judiciaire plus légère et moins coûteuse pour les personnes physiques et les PME et enfin, qu'il faudrait élaborer un mécanisme qui contraindrait les créanciers de première ligne à respecter un certain délai. Il souhaite dès lors connaître les intentions du ministre sur ces différentes questions. Il estime qu'il n'a pas de réponse dans l'amendement n° 1.

It welcomes the fact that the cedent or the judicial representative is required to inform the candidate cedent in writing of all obligations relating to the workers concerned by the transfer, as well as of all existing actions that these workers would have brought against the employer, and that it notify the workers individually of the obligations existing towards them.
Ms. Deom asserts that the legal certainty of the parties concerned is guaranteed by the possibility of requesting, by application to the labour court, the projected transfer approval.
For the Ecolo-Groen!, Mr Gerkens asks for clarification as to the exact date on which the agreement between the social partners was concluded and on what basis it was. It considers that certain provisions lack clarity and gives as examples Articles 49 and 57. Ms Gerkens supports the proposal of Mr. To submit again the text of amendment No. 1 for opinion to the National Labour Council, in which the social partners are represented.

Mme Smeyers, qui présidait alors la commission, fait pour sa part observer que le premier amendement offre un large éventail de possibilités aux entreprises en difficulté et que cette souplesse leur permettra de poursuivre leurs activités. Elle interroge le ministre sur l'article 8, disposition qui figurait déjà dans la précédente législation relative au concordat judiciaire et pour laquelle aucun arrêté royal n'avait encore été pris. Elle demande, dès lors, s'il serait possible d'inscrire l'échange de données dans le texte de loi proprement dit. Elle demande aussi si le ministre est prêt à collaborer avec les Régions dans le domaine de la gestion préventive des entreprises.
Le représentant du ministre répond tout d'abord en rappelant que chaque groupe peut proposer des projets d'amendements auprès de la cellule stratégique. Il se trouve que le groupe socialiste en a déposé un et le groupe MR quatre. En réponse aux questions des membres, il indique à M. Crucke que le groupe d'experts présent dans le groupe de travail est, dans une large mesure, composé de la même manière que le groupe de travail créé par Mme Onkelinx et que le président en est M. Ivan Verougstraete, président de la Cour de cassation.
En réponse à M. Bonte, le représentant du ministre Vandeurzen précise que, pendant trois ans, aucun accord n'a pu intervenir faute de consensus entre les partenaires sociaux. En revanche, le nouveau gouvernement a avancé en la matière. Il abonde également dans le sens de M. Il rappelle que, même en état de faillite, une entreprise peut encore faire appel à la procédure de réorganisation judiciaire et signale le coût énorme que représente une faillite. Il ajoute que le repreneur a, dans ce cas, toute liberté dans la reprise du personnel.
En réponse à Mme Déom, le représentant du ministre indique que le Conseil national du Travail s'est réuni pour la dernière fois le 19 juin 2008, et que les discussions relatives à la convention collective se poursuivent.
Aux interrogations de Mme Gerkens, le représentant du ministre répond que les partenaires sociaux ont formulé leurs observations sur la dernière version de l'amendement n° 1, qui tient compte de l'avis du Conseil national du Travail du 21 novembre 2006.
À M. Logghe, il est répondu que le groupe de travail s'est penché sur le problème du concours des créanciers, mais qu'il a estimé ne pas devoir modifier ce point. Monsieur le président, j'ai un problème à laisser M. Perpète continuer son intervention. Je suis désolée d'être arrivée pendant votre rapport. En fait, j'ai déposé auprès du président une demande de renvoi de cette proposition en commission et pour qu'on ne poursuive pas cette discussion aujourd'hui. J'avais également demandé que la ministre de l'Emploi, Mme Milquet, soit présente. Elle est là, c'est très bien!
En fait, pour mettre en œuvre les dispositions de la proposition de loi et garantir le respect des droits des travailleurs et la possibilité pour les travailleurs de faire respecter ces droits par les différentes dispositions judiciaires, il reste du travail à accomplir. Il y a du travail à accomplir via le CNT mais également, d'après nos informations, en matière de dispositions judiciaires relatives à la protection des travailleurs. Mme Milquet, au Conseil des ministres de mai dernier, était chargée de les répertorier et d'entamer ce travail.
Or je me suis renseignée aujourd'hui avant le début de nos travaux et ces dispositions ne sont pas concrétisées. J'ai la conviction que nous voterions ce texte aujourd'hui sans savoir exactement comment cela va se concrétiser, sans savoir si les partenaires sociaux pourront prendre toutes les dispositions entre eux via des conventions collectives ou s'il y aura des dispositions législatives à prendre dans d'autres secteurs que ceux dont nous parlons aujourd'hui.

Monsieur le président, chers collègues, permettez-moi d'abord de remercier le rapporteur qui est parvenu à résumer en une dizaines de minutes 180 pages de rapport, ce qui constitue déjà un exploit en soi.
Au nom de mon chef de groupe, M. Bacquelaine, et de moi-même, c'est avec un certain contentement et même soulagement que nous voyons arriver cette proposition sur les bancs de la Chambre.
Certes, nous devons faire preuve de modestie ainsi que le rapporteur nous l'a dit. Le travail préparatoire a été important, réalisé lors de la précédente législature, où le gouvernement et la ministre de la Justice avaient amené un avant-projet de loi, bloqué en fin de législature sur l'article 51 qui, aujourd'hui, est devenu l'article 61. Il en est donc toujours question: si l'on avait renvoyé le projet en commission, on en aurait sans doute reparlé pendant longtemps encore. À l'époque, un "niet" syndical a empêché cette proposition de loi de voir le jour.
Monsieur le premier ministre, après les élections, c'est une note de votre part qui relance le dossier. En effet, vous proposez au mois de juillet, de remplacer la loi du 17 juillet 1997 relative au concordat: elle ne fonctionne pas. C'est un euphémisme puisqu'elle représente un échec complet, impossible à prévoir lors de l'adoption d'une législation. Dans ce cas, les faits l'ont prouvé, matériellement. La note du premier ministre propose de remplacer le concordat par une continuité d'entreprise.
Souvent, on s'est plaint ici de la longueur des négociations qui ont peut-être empêché un travail parlementaire assidu. En l'occurrence, c'est la longueur des négociations qui a permis à deux parlementaires, M. Bacquelaine et moi-même, de prendre le taureau par les cornes et de redéposer voilà déjà un an, le 1ᵉʳ octobre 2007, une proposition que nous voterons ce jour, balancée de quelques aménagements.
La commission de Droit commercial, qui s'est réunie à plusieurs reprises, a réalisé un travail conséquent, sérieux, attentif. Outre les auditions, des questions, des débats et des notes ont permis d'en arriver à un vote final qui, comme rappelé tout à l'heure, n'a rencontré aucune opposition si ce n'est des abstentions. L'abstention constitue aussi une position pas nécessairement synonyme d'une complète désapprobation: nous reviendrons à cet article 61.
Monsieur le ministre, il fallait en plus obtenir votre imprimatur. Ce fut chose faite le 12 février 2008, puisque vous avez approuvé en commission les orientations de la proposition tout en précisant que vous souhaitiez, à la suite des auditions, que des éléments techniques soient modifiés et que l'avis des spécialistes entendus soit pris en compte. C'est dans ce contexte qu'un amendement global a été présenté. Il reprend pour partie le texte déposé, mais en le modifiant. Surtout, les remarques des experts, que je tiens personnellement à remercier, ont été prises en compte.
Si nous pensons que cette proposition de loi est plus que nécessaire aujourd'hui, c'est parce que nous estimons que c'est une aubaine tant pour le secteur économique que pour les travailleurs. L'échec de la loi sur le concordat a été unanimement constaté. Le rapporteur a cité les chiffres de 2006; l'année 2007 fut aussi catastrophique. En effet, on dénombre 7.000 faillites pour 70 concordats. C'est vous dire si nous avons affaire à une loi qui n'est pas appliquée parce qu'elle n'est pas applicable et, surtout, parce qu'elle comprend non seulement des lacunes, mais des lourdeurs qui la rendaient inefficace. Lorsqu'une entreprise entre en concordat, elle sait la plupart du temps que cela aboutira à la faillite. Nous avons donc développé une autre réflexion, selon laquelle l'entreprise ne sera pas détenue par les seuls créanciers qui, reconnaissons-le, sont souvent ceux qui mettent le plus vite un terme à l'existence de l'entreprise pour des raisons bien personnelles, mais qui ne sont pas prioritaires pour l'économie. Il s'agit donc d'un changement d'optique, grâce auquel plus d'entreprises se maintiendront parce qu'elles seront encore viables, mais aussi plus de travailleurs resteront dans l'entreprise.
Je lisais dans "Le Monde" d'hier ce qui est en train de se passer en Espagne. La situation y est assez comparable à la nôtre, parce que ce pays dispose également d'une loi sur les faillites et d'une autre sur le concordat, qui ne fonctionne pas. Voici ce qu'en rapporte le journaliste du "Monde": "La réalité de la crise économique espagnole - c'est-à-dire pas seulement dans les statistiques de la Banque d'Espagne, qui a annoncé le vendredi 31 octobre l'entrée en récession du pays avec pour la première fois depuis 1994 une croissance négative – est mesurable à hauteur des piles de dossiers de faillite qui submergent les tribunaux de commerce. La charge de travail des sept tribunaux de commerce de Madrid a augmenté de 986%, et à Barcelone de 973%. We have therefore developed another reflection, according to which the company will not be held by the only creditors who, let us acknowledge it, are often those who quickly put an end to the existence of the company for very personal reasons, but who are not priority for the economy.
I read in "Le Monde" yesterday what is happening in Spain. The situation here is quite comparable to ours, because this country also has a bankruptcy law and another on the concordat, which does not work. “The reality of the Spanish economic crisis – that is, not only in the statistics of the Bank of Spain, which announced on Friday 31 October the country’s entry into recession with for the first time since 1994 a negative growth – is measurable at the height of the pile of bankruptcy files that overwhelm the commercial courts. Reste maintenant la pierre d'achoppement. Elle est constituée par l'article 61 qui statue sur le sort des travailleurs lorsque l'entreprise est cédée.
Monsieur le ministre de la Justice, vous avez joué un rôle capital en la matière, en trouvant une formule transitoire. Cette formule, on peut l'apprécier ou non. J'ai bien compris que certains ici souhaitaient qu'une autre solution soit proposée, celle d'un accord entre les partenaires sociaux. Cependant, une proposition transitoire existe. Elle a reçu non pas l'aval mais l'approbation des partenaires sociaux qui en approuvent les grandes lignes.
Dans ce cas, les droits des travailleurs sont conservés et l'on peut, entre le cédant, le cessionnaire et les travailleurs, trouver un accord collectif. De même, il est permis, entre cessionnaire et certains travailleurs, trouver des accords individuels. C'est ainsi que le repreneur pourra faire un choix lors de la reprise d'une partie des travailleurs, sur base de critères techniques, économiques et organisationnels.
Cela nous semble constituer des garanties suffisantes, tout en se réservant en plus, l'aval et l'homologation du tribunal. Cette solution transitoire me semble bonne et même si elle peut être améliorée, elle doit entrer en vigueur.

Mais si le concordat ne fonctionne pas, ceci ne fonctionnera pas automatiquement pour autant. Il y a quand même un élément culturel important dans notre pays, qui ne touche pas que les entreprises en difficulté mais bien l'entreprenariat de manière générale, qui est que faire faillite ou se trouver en difficulté quand on est directeur d'entreprise est un échec. C'est un échec et c'est mal vu. La personne qui a échoué dans son entreprise est disqualifiée par rapport aux autres pour obtenir des prêts et pouvoir relancer une nouvelle activité. Notre culture par rapport à l'échec de l'entrepreneur est particulière. Ce n'est pas la même chose dans d'autres États ou dans d'autres cultures.
C'est un travail qui dépasse le cadre de notre travail législatif mais je pense qu'on ne pourra garantir le succès de dispositifs, même simplifiés et assouplis comme ceux-ci, que si on arrive aussi à changer cette culture et reconnaître qu'on peut se tromper. Pour pouvoir faire cela, il faut pouvoir garantir aux travailleurs la protection de leurs droits et la sécurité juridique dans les dispositifs qui sont mis en place. L'un ne va pas sans l'autre et l'un ne peut handicaper l'autre.
C'est la raison pour laquelle j'ai travaillé attentivement au dispositif et à la discussion sur cette proposition de loi.

Je ne reprendrai pas tous les éléments positifs de la proposition de loi qui nous occupe et que je peux partager. Toutefois, je voudrais intervenir au sujet de l'article 61 et donc sur la question de la protection des droits des travailleurs.
À plusieurs reprises, des questions ont été posées sur les garanties offertes. Nous voulions notamment savoir si on "naviguait" ou non entre différentes législations. Nous voulions que l'on nous informe quant aux possibilités de recours lorsque les informations ne sont pas bien données. Nous souhaitions également que l'on nous dise si le travailleur qui arrête son activité ou qui décide de la reprendre serait vraiment soutenu et disposerait de tous les moyens pour faire valoir ses droits.
Quelles ont été les réponses apportées? On nous a rappelé qu'il existait des lois, des dispositions transitoires, mais aussi et surtout que le Conseil national avait rendu un avis unanime. Cependant, nous ne sommes jamais parvenus à ce que cet avis soit transmis à la commission. En outre, nous avons rarement eu l'occasion de voir la ministre. C'est son représentant qui nous a fait savoir qu'il s'agissait d'une lettre dans laquelle le Conseil national du Travail se prononce. Les textes ne nous ont pas été fournis malgré les démarches effectuées en ce sens.
Le vote a eu lieu en commission en juillet. La ministre de l'Emploi avait été chargée en avril ou en mai – je ne sais plus exactement – de procéder au relevé des dispositions à modifier. Et aujourd'hui, elle vient nous dire que les travaux avancent mais qu'il n'existe pas de relevé des dispositions à modifier. Pourtant cette mission lui avait bel et bien été confiée.
Par ailleurs, on nous fait savoir que le Conseil national du Travail est d'accord, que le travail avance et que nous disposerons bientôt d'une nouvelle CCT. Pourtant, selon les informations qui m'ont été transmises, les choses ne se passent pas aussi bien que certains le prétendent. Les syndicats et les patrons n'ont pas les mêmes lectures, les mêmes interprétations. Tant que cela ne sera pas le cas, un avis unanime ne pourra pas être rendu, et une nouvelle CCT ne pourra pas voir le jour.
Nous avons été constructifs. Nous avons posé des questions. J'ai attendu en me disant qu'il fallait laisser du temps. Lorsque, immédiatement après le vote M. Leterme a démissionné, j'ai pensé qu'il fallait laisser travailler le gouvernement pendant les vacances afin de lui permettre de se rattraper. Aujourd'hui, la mi-novembre approche et la question n'est pas encore réglée. Vous comprendrez donc que je puisse avoir des craintes.
Je répète que je voulais que l'on puisse se donner le temps et surtout que l'on puisse travailler sur base de l'avis du Conseil national, sur base de l'examen des dispositions à prendre en matière de législation du travail pour la protection des droits des travailleurs afin de leur permettre de disposer des recours et des protections nécessaires. Je souhaitais également que l'on procède à une évaluation afin d'éviter de porter préjudice au dispositif et que l'effet de ce dernier ne soit pas le même que le concordat. Ainsi, il ne faudrait pas que les dispositions de ce dernier soient considérées comme trop lourdes. Je souhaitais que l'on puisse réexaminer notre proposition et, éventuellement, modifier certains éléments, si cela s'avérait nécessaire.

The vote took place in the committee in July. The Minister of Employment had been charged in April or May – I don’t know exactly – to proceed with the report of the provisions to be amended. And today, she comes to tell us that the work is progressing but that there is no record of the provisions to be changed. However, this task was entrusted to him.
Furthermore, we are informed that the National Labour Council agrees, that the work is moving forward and that we will soon have a new CCT. Nevertheless, according to the information I have received, things are not going as well as some claim. Trade unions and employers do not have the same readings, the same interpretations. As long as this is not the case, a unanimous opinion cannot be given, and a new CCT cannot be born.
We have been constructive. We asked questions. I waited, telling myself that I had to leave time. When, immediately after the vote Mr. Leterme resigned, I thought it was necessary to let the government work during the holidays in order to allow it to catch up. Today, mid-November is approaching and the issue is not yet resolved. Then you will understand that I may have fears.
I repeat that I wanted to have time and, above all, to work on the basis of the opinion of the National Council, on the basis of the consideration of the provisions to be taken in the field of labour legislation for the protection of the rights of workers in order to enable them to dispose of the necessary remedies and protections. I also wanted an assessment to be carried out in order to avoid damaging the device and that the effect of the device is not the same as the concordat. Therefore, the provisions of the latter should not be considered too heavy. I wish that we could review our proposal and possibly modify some elements, if necessary.

C'est à cause de ces zones d'ombre que je n'ai pas voté pour. Néanmoins, un travail était prévu et un accord devait être obtenu de la part des partenaires sociaux, patrons et syndicats. Si on n'a pas cet accord, les dispositions ne peuvent pas entrer en vigueur. Qu'aurez-vous gagné? Rien du tout! Vous aurez gagné de nous faire voter aujourd'hui, puis de nous faire recommencer les travaux éventuellement plus tard car il faudra imaginer autre chose en raison du désaccord des partenaires.
Aujourd'hui, si je vote pour ce texte, je vote pour un chat dans un sac en ce qui concerne ces dispositions qui permettront de garantir le respect des droits des travailleurs et la sécurité juridique des procédures que devront suivre les travailleurs.
Je regrette que vous utilisiez l'argument de l'urgence alors qu'on sait que cette loi n'entrera en application que plus tard. Il n'y a donc pas urgence!
Si Mme Milquet avait raison de dire que les travaux avancent bien, on pourrait attendre le 1ᵉʳ décembre. On aurait peut-être alors eu cet avis unanime du CNT avec une CCT et on aurait pu voter ce texte. Ce n'est pas le cas. Si vous n'acceptez pas notre proposition de retarder les choses, c'est parce que vous avez aussi peur que moi qu'il n'y ait pas d'accord et donc pas d'application concrète. Nous en reparlerons donc dans quelques semaines ou dans quelques mois.

If you do not accept our proposal to delay things, it is because you are as afraid as I am that there will be no agreement and therefore no concrete application. Mijnheer de voorzitter, collega's, het door de regering ten gronde geamendeerde wetsvoorstel waarover wij vandaag zullen stemmen, is belangrijk. Belangrijk omdat het poogt een instrument te creëren dat de doorstart van een onderneming in moeilijkheden mogelijk moet maken. Zeker in de huidige, economische context is een goed wettelijk kader om het voortbestaan van een onderneming te garanderen, ook in het belang van de werknemers, van bijzonder groot belang.
Om het belang van de nieuwe wet te onderstrepen, wil ik even kijken naar de huidige wet van juli 1997 op het gerechtelijk akkoord, die een bijzonder beperkt succes kent. Het aantal procedures dat jaarlijks wordt aangevraagd en opgestart, is bijzonder laag. Uit cijfers blijkt dat er sinds 2001 tot het eerste trimester van 2008 precies 741 aanvragen van een gerechtelijk akkoord waren. Bovendien eindigde een belangrijk deel van de aanvragen van een gerechtelijk akkoord alsnog in een faillissement. Ter illustratie, enkele cijfers. Van de 73 gerechtelijke akkoorden die in 2007 werden toegewezen, zijn er vandaag 24 met een faillissement geëindigd. In 2006 werden er 91 gerechtelijke akkoorden toegewezen. Meer dan de helft van die bedrijven is alsnog failliet gegaan.
Ik zeg dit maar om aan te tonen dat een hervorming nodig is en dat hier een belangrijk wettelijk kader wordt gecreëerd. Dat wettelijk kader kwam ook als een van de conclusies uit de Sabenacommissie, maar kent nu pas zijn beslag. Ik wil er aan herinneren dat in de vorige legislatuur herhaaldelijk pogingen werden ondernomen om tot een akkoord te komen, maar dat men daarin nooit is geslaagd.
Het wetsvoorstel van de heren Crucke en Bacquelaine herneemt het werk van de paarse regering, maar is na een reeks van hoorzittingen en door het werk van een groep van experts op het kabinet van de minister van Justitie vrij grondig herschreven.
Wat zijn de belangrijkste krachtlijnen van dit ontwerp? Naast de talrijke vereenvoudigingen werd getracht een breuk te maken met de negatieve connotatie van de huidige wet op het gerechtelijk akkoord. Men heeft meer de nadruk gelegd op de continuïteit van de ondernemingen. Dat was een van de redenen van het beperkte succes van de wet op het gerechtelijk akkoord, namelijk de negatieve connotatie die de term gerechtelijk akkoord had, zowel in de media als bij de verschillende handelspartners van de ondernemingen in moeilijkheden.
Een tweede belangrijke verbetering is de grotere soepelheid die wordt geboden om de procedure op te starten. De voorwaarden zijn soepeler en minder strikt. Optreden kan veel sneller, zodat het voortbestaan van de onderneming veel meer kans van slagen heeft.
Een derde grote innovatie, en die is toch vrij fundamenteel, is het feit dat de onderneming in moeilijkheden reeds van bij de start van de procedure verschillende mogelijkheden heeft. To highlight the importance of the new law, I would like to take a look at the current law of July 1997 on the judicial settlement, which has ⁇ limited success. Moreover, a significant part of the applications for a judicial settlement still ended in bankruptcy. To illustrate, a few figures. Of the 73 judicial settlements awarded in 2007, 24 today ended in bankruptcy. In 2006, 91 judicial agreements were awarded. More than half of these companies have gone bankrupt.
I say this only to show that a reform is needed and that an important legal framework is being created here. That legal framework also came as one of the conclusions of the Sabenacommission, but only now knows its seizure. I would like to remind you that in the previous legislature there were repeated attempts to reach an agreement, but that never succeeded.
Mr. Crucke and Mr. Bacquelaine’s bill takes back the work of the purple government, but has been re-written quite thoroughly after a series of hearings and by the work of a group of experts in the Cabinet of the Minister of Justice.
What are the main strengths of this design? In addition to the numerous simplifications, it was attempted to break with the negative connotation of the current law on the judicial agreement. More emphasis was placed on the continuity of the companies. That was one of the reasons for the limited success of the Law on Judicial Agreement, namely the negative connotation that the term Judicial Agreement had, both in the media and among the various trading partners of the companies in difficulty.
A second major improvement is the greater flexibility offered to start the procedure. Conditions are smoother and less strict. Acting can be much faster, so the survival of the company is much more likely to succeed.
A third major innovation, which is yet quite fundamental, is the fact that the undertaking in difficulty already has several options from the start of the procedure. It is no longer bankruptcy or concordate, where the concordate was often synonymous with bankruptcy. There are different systems possible.

Het advies van de NAR stelt duidelijk dat het hier gaat om een compromis. Dat staat zwart op wit gedrukt. Iedereen weet dat een compromis altijd geven en nemen is. Volgens mij is het systeem met een homologatie door de rechter achteraf eveneens evenwichtig genoeg om als basis te dienen voor verdere onderhandelingen binnen de NAR. Dat is ook een deel van het compromis; er wordt binnen de NAR verder onderhandeld over alle aspecten van de sociaalrechtelijke regeling. De minister van Werk heeft daarnet gezegd dat er schot in de zaak zit, dat er op regelmatige basis wordt vergaderd en dat de kans bestaat dat men voor het einde van het jaar tot een akkoord komt.
Het is dan ook de mening van onze fractie dat het wetsvoorstel met het uitgebreide regeringsamendement alle steun verdient. Ik durf erop rekenen dat dit belangrijk wettelijk kader een ruime meerderheid zal vinden in deze Kamer.

It is therefore the opinion of our group that the bill with the extensive government amendment deserves all support. I dare count on this important legal framework to find a broad majority in this Chamber.

Wij zijn de professoren, de griffiers, de curatoren, de magistraten, de vakbonden en werkgeversorganisaties dan ook heel dankbaar voor hun onmisbare inbreng bij de totstandkoming van het ontwerp.
Op één artikel – u kan waarschijnlijk al raden welk artikel ik er zal uitpikken, namelijk artikel 61 –, zou ik willen terugkomen.
Het is zoals de Nationale Arbeidsraad ook aanhaalt, inderdaad een compromistekst over de rechten van de werknemers bij overname van de onderneming in moeilijkheden. Er wordt bepaald dat de werknemers in principe hun rechten behouden. Er kan bij collectief akkoord van de overnemer, de onderneming in moeilijkheden en de werknemersvertegenwoordigers van de arbeidsvoorwaarden worden afgeweken. Er kan bij individueel akkoord van de individuele arbeidsovereenkomsten worden afgeweken. De overnemer zal ook niet mogen discrimineren bij het uitkiezen van personeel. Hij zal bijvoorbeeld hetzelfde percentage vakbondsafgevaardigden moeten overnemen.
Het stopt echter niet bij voornoemde compromistekst. Er werd tevens afgesproken dat de sociale partners in het raam van het sociaal overleg binnen de Nationale Arbeidsraad voormelde principes nader kunnen uitwerken. In dat verband mogen zij van het raamakkoord afwijken.
Mijnheer de minister, in een van uw persberichten dat nog steeds op de webstek van de FOD Justitie pronkt, zegt u het zelf.
In het persbericht wordt – terecht – gesteld dat het een voorlopige regeling is, die werd uitgewerkt voor het sociaal statuut van de werknemers die door een ander bedrijf worden overgenomen.
Het persbericht stelt verder – ik citeer –: “Deze regeling dient nog wel verder verfijnd en uitgewerkt te worden door de sociale partners binnen de Nationale Arbeidsraad.”
De Nationale Arbeidsraad heeft zich in zijn advies van 9 juli 2008 inderdaad ertoe verbonden om vóór eind 2008 een eigen regeling rond het sociaal statuut van de werknemers uit te werken.

We are therefore very grateful to the professors, the secretaries, the curators, the magistrates, the trade unions and the employer organisations for their indispensable contribution to the creation of the draft.
On one article – you can probably already guess which article I will pick out, namely Article 61 – I would like to return.
It is, as the National Labour Council also points out, indeed a compromise text on the rights of workers in the event of the acquisition of the company in difficulty. It stipulates that workers in principle retain their rights. By collective agreement between the acquirer, the undertaking in difficulty and the workers' representatives, the conditions of employment may be derogated. The individual employment contracts may be derogated by individual agreement. The contractor shall also not be allowed to discriminate in the selection of staff. For example, he will have to take over the same percentage of trade union representatives.
However, it does not stop at the aforementioned compromise text. It was also agreed that the social partners could further develop the principles set forth in the framework of social consultation within the National Labour Council. In this respect, they may derogate from the Framework Agreement.
Mr. Minister, in one of your press releases that still appear on the website of the FOD Justice, you say it yourself.

Monsieur le président, monsieur le ministre, chers collègues, "La Grande Désillusion" est le titre d'un ouvrage publié en 2002 par Joseph Stieglitz, prix Nobel d'économie. La grande désillusion est aussi le titre dont on pourrait affubler la loi sur le concordat. Cette loi était porteuse de beaucoup d'espoirs mais elle s'est révélée en pratique trop coûteuse, trop rigide et donc inefficace. Si j'ai emprunté le titre de ce livre, c'est parce qu'en 2002, l'auteur écrivait qu'il y avait dans notre monde et dans nos États six ou sept mesures importantes à prendre. Je vais vous les lire.
La première, c'était reconnaître les dangers de la libéralisation des marchés des capitaux et admettre que les flux de capitaux à court terme et l'argent spéculatif imposent d'énormes externalités. La deuxième, c'est réformer les faillites. Et l'auteur de dire qu'il est grand temps d'imposer des réformes dans ce droit en tenant compte des caractéristiques spéciales de nombreuses faillites qui sont des faillites macro induites. J'y reviendrai dans quelques instants.
Je voudrais formuler cinq observations aujourd'hui. D'abord, cette loi est une nécessité. Elle doit permettre le sauvetage, et comme l'indique son nom, elle doit permettre la continuité d'une série d'entreprises. Elle doit le faire dans notre pays qui est un pays d'économie ouverte, c'est-à-dire soumis à la concurrence et dont l'économie, en raison des mouvements de fluctuation, souffre peut-être plus que d'autres. The first was to recognize the dangers of capital market liberalization and to admit that short-term capital flows and speculative money impose enormous externalities. The second is the reform of bankruptcy. And the author says it is high time to impose reforms in this law taking into account the special characteristics of many bankruptcies that are macro-induced bankruptcies. I will return to it in a few moments.
I would like to make five observations today. First, this law is a necessity. It must enable rescue, and as its name suggests, it must enable the continuity of a series of enterprises. It must do so in our country which is a country of open economy, that is, subject to competition and whose economy, due to fluctuating movements, may suffer more than others. It must do so especially also because it must save jobs, because any business that breaks down through bankruptcy – of course, you can always give up the company – leads to social difficulties, especially when it comes to disappear.
Second note: where the concordat has failed, I hope that this law can succeed. I recall the measures that make up it: amicable settlement, if not a collective settlement; a transfer of business, voluntary or non-voluntary, always under the authority of justice.

Ces deux principes me paraissent essentiels pour répondre à une série de difficultés auxquelles des opérateurs économiques sont confrontés et afin d'éviter ce qui est qualifié par M. Quatrième remarque. Je ne dirai pas que la loi a tout résolu. Il reste des questions. S'il faut dire quelque chose ce soir, c'est qu'il faudra reprendre le métier. Il faudra notamment voir qui prendra en charge le coût de ces intervenants. Certes, la prévention des difficultés d'entreprise est une compétence régionale, mais qui va notamment, vu que le juge délégué assumera d'autres responsabilités, s'attacher à lui donner un statut plus acceptable d'un point de vue pécuniaire.
Il s'agira aussi de voir la façon dont certains créanciers, et je pense notamment aux créanciers institutionnels, parmi lesquels plus précisément l'ONSS, joueront le jeu, ce qui n'a pas toujours été le cas pour la loi sur le concordat.
Nous devrons aussi nous interroger, peut-être dans les prochaines années, pour voir si le droit d'initiative doit vraiment rester aux seules mains de l'entrepreneur. À certains moments, ne faudra-t-il pas que ce droit d'initiative soit aussi partagé par d'autres?
Enfin, puisque le réflexe restera celui-là, ne faudra-t-il pas donner compétence au tribunal saisi d'une demande de faillite de la possibilité d'orienter l'entreprise vers cette loi, vers la continuité, vers d'autres formes de résolution de ces conflits pour éviter que la solution de facilité soit celle de la faillite?

Il y a plus de quatre-vingts privilèges dans la loi et chacun, face à des entreprises en difficulté, essaie de s'en attirer les dépouilles à son seul profit. Il y a bien l'article 61 mais la loi, comme le ministre nous l'a dit, se base sur un compromis qui a été concerté. Le CNT a la possibilité de prendre et de mettre en œuvre une autre solution qui pourrait rencontrer les hypothèses prévues dans cette loi. Je le souhaite. Nous devons être positifs, nous devons espérer que les partenaires sociaux prendront la responsabilité de faire en sorte que cette loi puisse trouver application.
En toute hypothèse, la solution telle qu'elle est destinée à titre provisoire dans la loi, est nettement plus favorable que celle à laquelle les travailleurs sont actuellement confrontés dans la loi sur la faillite. Il faut être aussi très clair à cet égard.
Ma cinquième remarque est qu'il est nécessaire d'y croire. Il est nécessaire d'y croire pour lui donne la chance car, en matière d'entreprise, c'est la confiance qui fait le crédit et la valeur d'une entreprise, c'est sa réputation. La procédure de concordat rebaptisée "procédure de réorganisation judiciaire" va offrir aux entreprises en difficulté une pluralité d'options, plutôt que le choix binaire concordat/faillite.
Cette multitude d'options se fait via des procédures moins lourdes et moins coûteuses. De cette manière, on va faciliter les chances de parvenir à un accord avec les créanciers et éviter au maximum les conséquences néfastes liées à une faillite.
Pour les entreprises, cela représente donc une chance de survie considérablement plus grande.
Pour les travailleurs, plusieurs scénarios sont désormais possibles: réorganisation judiciaire par accord amiable, par accord collectif ou par transfert sous autorité de justice. Cela accorde donc un plus grand espoir de maintien de l'activité économique et ce faisant, de maintien de l'emploi.
Si nous pouvons nous montrer satisfaits du chemin parcouru, c'est aussi et avant tout parce qu'en proposant son amendement, le gouvernement n'a pas considéré les travailleurs comme de simples actifs de l'entreprise mais bien comme des personnes humaines avec des droits, des préoccupations et des revendications.
Nous ne pouvons que saluer le gouvernement, notamment le ministre de la Justice, d'avoir pris l'initiative de réunir les partenaires sociaux afin de s'assurer que la concertation sociale pourra se dérouler et dégager un accord sur le statut des travailleurs en cas de transfert d'entreprise sous autorité judiciaire.
En effet, la principale pierre d'achoppement pour le groupe socialiste concernait la problématique des droits des travailleurs en cas de transfert sous autorité de justice car en aucun cas, nous ne pouvions accepter l'interprétation abusive des auteurs de la proposition selon laquelle un tel transfert était une procédure d'insolvabilité analogue à une faillite. Une telle orientation, permise mais pas imposée par la directive européenne du 12 mars 2001, aurait entraîné l'application mutatis mutandis du chapitre 3 de la convention collective 32 bis, soit du volet faillite. Cela signifie par exemple que le libre choix du cessionnaire exposait alors vraiment les travailleurs à l'arbitraire, choix des travailleurs les moins bien rémunérés ou élimination des représentants des travailleurs, et que le principe de la soi-disant libre négociation des conditions individuelles de travail est bien entendu une illusion dans un tel contexte.

If we can be satisfied with the path that has been taken, it is also and above all because, by proposing its amendment, the government has regarded workers not as mere assets of the company but as human persons with rights, concerns and claims.
We can only congratulate the government, in particular the Minister of Justice, for taking the initiative to bring together the social partners in order to ensure that social consultation can take place and to reach an agreement on the status of workers in the event of a company transfer under judicial authority.
Indeed, the main stumbling stone for the Socialist group concerned the problem of workers’ rights in case of transfer under judicial authority because in no case could we accept the misinterpretation by the authors of the proposal that such a transfer was an insolvency procedure analogous to a bankruptcy. Such orientation, permitted but not imposed by the European Directive of 12 March 2001, would have resulted in the application mutatis mutandis of Chapter 3 of the collective agreement 32a, or the failed part. This means, for example, that the free choice of the cessionary then really exposed workers to arbitrariness, the choice of the worst-paid workers or the elimination of worker representatives, and that the principle of the so-called free negotiation of individual working conditions is of course an illusion in such a context.

L'amendement du gouvernement constitue un compromis honorable entre les intérêts des travailleurs et ceux des employeurs, en attendant la CCT au sein du Conseil national du Travail, qui pourrait affiner et compléter les droits des travailleurs. À ce sujet, nous rappelons l'engagement formel du ministre de la Justice et de l'ensemble des partis de la majorité de laisser le temps au CNT de conclure cette convention collective et, si besoin en était, de repousser la date butoir du 1ᵉʳ janvier 2009 au moyen d'autres législations dont nous aurons à traiter dans les prochaines semaines.
L'amendement du gouvernement pose le principe du maintien des droits des travailleurs puisque les droits et les obligations qui résultent, pour le cédant, des contrats de travail existants au moment du transfert de l'entreprise sont, de la sorte, confié au cessionnaire. C'est fondamental, bien qu'il ne s'agisse que d'un principe puisqu'il est permis d'y déroger notamment en matière de contrat de travail individuel. Sur ce point, le fait que les modifications éventuelles doivent être liées principalement, selon le texte, à des raisons techniques, économiques, voire organisationnelles ne nous rassure pas totalement. En effet, le transfert implique déjà par lui-même, et par définition, un motif économique. Enfin, nous savons que le travailleur n'est pas en position de force quand il est engagé dans une négociation individuelle avec un nouvel employeur.
Par ailleurs, notre exigence était aussi qu'en cas de reprise d'une partie des travailleurs, s'impose également la reprise d'une part proportionnelle des représentants des travailleurs. Sur ce point, l'amendement du gouvernement a satisfait à notre demande.
Enfin, le groupe socialiste tient encore à souligner deux autres points positifs qui méritent d'être mentionnés. D'abord, il s'agit du devoir pour le cédant ou le mandataire de justice d'informer par écrit le cessionnaire de toutes les obligations se rapportant aux travailleurs concernés et de notifier à ces derniers les obligations à leur égard. Il faut encore citer la possibilité pour ceux-ci, en cas de données incorrectes ou incomplètes, de réclamer des dommages et intérêts aux cédants en saisissant le tribunal du travail qui devra alors statuer en urgence.
Ensuite, je mentionne la possibilité de demander l'homologation par le tribunal de la convention de transfert, qui est de nature à garantir la sécurité juridique des différentes parties.

The government amendment constitutes an honorable compromise between the interests of workers and those of employers, pending the CCT within the National Labour Council, which could refine and complement the rights of workers. In this regard, we recall the formal commitment of the Minister of Justice and all majority parties to give time to the CNT to conclude this collective agreement and, if necessary, to postpone the deadline of 1 January 2009 by means of other legislation that we will have to deal with in the coming weeks.
The Government amendment sets the principle of ⁇ ining the rights of workers since the rights and obligations resulting, for the cedent, from existing labour contracts at the time of the transfer of the enterprise are thus entrusted to the cessionary. This is fundamental, although it is only a principle, since it is permissible to derogate from it, in particular with regard to individual employment contracts. On this point, the fact that the possible changes must be linked mainly, according to the text, to technical, economic, or even organizational reasons does not fully reassure us. In fact, the transfer already implies by itself, and by definition, an economic motive. Finally, we know that the worker is not in a force position when he is engaged in an individual negotiation with a new employer.
Furthermore, our requirement was also that in the event of a recovery of a part of the workers, it is also necessary to recover a proportional part of the representatives of the workers. On this point, the Government amendment has met our request.
Finally, the Socialist Group still wants to highlight two other positive points that deserve to be mentioned. First, it is the obligation for the cedent or the judicial representative to inform the cedent in writing of all obligations relating to the workers concerned and to notify them of the obligations towards them. It should also be mentioned the possibility for these, in case of incorrect or incomplete data, to claim damages and interests from the cedents by referring to the labour court, which will then have to decide urgently.
Next, I mention the possibility of requesting the approval by the court of the transfer agreement, which is in a way to guarantee the legal certainty of the different parties.
