                    Mijnheer de voorzitter, collega’s, ondanks het korte verslag van de collega denk ik dat deze voorgestelde wetswijziging toch te belangrijk is, maatschappelijk te relevant is om zomaar te laten passeren.

Ik veroorloof mij als nieuw parlementslid ook om eventjes terug te gaan in de tijd. Ik herinner u aan de vorige legislatuur en de besprekingen die toen hebben plaatsgevonden. Een aantal collega’s zal zich deze ongetwijfeld nog herinneren. Er was de problematiek rond de vraag met betrekking tot de verhaalbaarheid van erelonen van advocaten. Is dit al dan niet vergoedbare schade en kunnen partijen al dan niet deze schade in rechte verhalen?

In deze zijn er vervolgens belangrijke arresten geweest van het Hof van Cassatie en het Grondwettelijk Hof. Er was onder meer het arrest van 2 september 2004 ingevolge waarvan vast kwam te staan dat erelonen van advocaten effectief deel kunnen uitmaken van deze vergoedbare schade.

Een aantal confraters zal zich deze periode nog wel herinneren. Dit arrest had tot gevolg dat bij een veroordeling effectief participatie in de kosten van de advocaten werd gevraagd van de tegenpartij, met als gevolg zeer uiteenlopende rechtspraak en rechtsonzekerheid.

Het is aldus dat deze Kamer terecht de wet van 21 april 2004 heeft goedgekeurd waarin een antwoord werd geboden op deze problematiek. Het principe van de verhaalbaarheid van de erelonen werd verankerd in het Gerechtelijk Wetboek. Deze rechtsplegingvergoeding kreeg ook een andere definitie, namelijk een forfaitaire tegemoetkoming in de kosten en erelonen van de advocaat van de in het gelijk gestelde partij.

Daarbij werd ook voorzien dat de rechter beschikt over een zeer ruime beoordelingsmogelijkheid. Daarenboven werden in de wet een aantal precieze criteria vooropgesteld ingevolge waarvan de rechter deze rechtsplegingvergoeding in goede banen kon leiden en toch kon blijven zorgen voor en aandacht kon blijven hebben voor een gelijke toegang tot het gerecht voor alle partijen, ook de meest zwakken in deze samenleving.

Waarde collega’s, ik hoef u niet te herinneren aan de talrijke problemen die zich in de praktijk met betrekking tot de toepassing van dit artikel stellen, belangrijke rechtsvragen en onbedoelde gevolgen. Ik verwijs hiervoor naar de ontelbare vragen die hierover zijn gesteld aan de minister van Justitie. Ik som er enkele op.

As a new member of Parliament, I also allow myself to go back in time for a while. I remind you of the previous legislature and the discussions that took place at that time. Certainly some colleagues will remember this. There was the problem surrounding the question regarding the recourseability of honorary wages of lawyers. Is this damages or not compensable and can the parties or not claim these damages in court?

In these, there were then important judgments of the Court of Cassation and the Constitutional Court. There was, among other things, the judgment of 2 September 2004 in which it was established that honorary honours of lawyers could effectively form part of this compensable damage.

Some of our colleagues will remember this period. This judgment resulted in a conviction in which an effective participation in the costs of the lawyers was requested from the opposing party, resulting in very diverse case-law and legal uncertainty.

It is thus that this Chamber correctly approved the law of 21 April 2004 providing an answer to this problem. The principle of the recourability of honorary wages was anchored in the Judicial Code. This judicial remuneration was also given a different definition, namely a flat-rate payment in the costs and honorary salaries of the lawyer of the party in the dispute.

It also provided that the judge has a very broad discretion. Furthermore, the law prescribed a number of precise criteria in accordance with which the judge could conduct this judicial remuneration in good order and yet could continue to ensure and pay attention to equal access to justice for all parties, even the most weak in this society.

Dear colleagues, I do not need to remind you of the numerous problems that arise in practice with regard to the application of this article, important legal issues and unintended consequences. In this regard, I refer to the countless questions asked to the Minister of Justice on this subject. I list some of them.

                    Een vraag betrof de vaststelling dat een partij die voor de rechter verschijnt, de vordering niet betwist en enkel om afbetalingen komt vragen, mogelijkerwijs tot een hogere rechtsplegingsvergoeding wordt veroordeeld dan een partij die niet komt opdagen en verstek laat gaan.

Een andere vraag betrof de vaststelling dat een partij die enkel verzet aantekent omdat hij afbetalingen wenst te bekomen en mogelijkerwijs in het gelijk wordt gesteld, afbetalingen bekomt en recht heeft op een rechtsplegingsvergoeding ten opzichte van degene die de betaling moet ontvangen.

De vraag is of de rechtsplegingsvergoeding en deze regeling van toepassing is in administratief recht.

De minister heeft zich in de commissie geëngageerd om al deze problemen met de verschillende actoren te bespreken. Het merendeel van deze problemen betreft niet de toepassing van artikel 1022 Gerechtelijk Wetboek, maar de toepassing van het koninklijk besluit.

Vandaar dat de minister zich heeft geëngageerd om deze wet en het koninklijk besluit te evalueren, daarbij rekening houdend met de te verwachten uitspraken van het Grondwettelijk Hof en het Hof van Cassatie om aldus te komen tot een coherente en eensluidende aanpassing.

Het artikel en de vandaag voorliggende wetswijziging verdienen onze aandacht omdat deze wijziging voorziet in een wijziging van het derde lid van artikel 1022. Dit voorstel heeft de verdienste om de problematiek op te lossen van een partij die aanvankelijk geen vermindering van rechtsplegingsvergoeding heeft gevraagd terwijl hij of zij daarop recht heeft, omdat hij het vergat te vragen of niet wist dat hij dat kon vragen.

Dit artikel en deze aanpassing voorzien in een mogelijkheid voor de rechter om deze partij actief te bevragen en aldus informatie te verzamelen zodat hij desgevallend toch zou komen tot een beslissing en de vermindering van de rechtsplegingsvergoeding.

Hierbij wordt evenwel de procesautonomie van de partijen en de rechten van verdediging gehandhaafd. Een partij zal dit immers moeten vragen in rechte en de rechter zal dit niet ultra petita kunnen statueren.

One question concerned the determination that a party who appears before the court does not challenge the claim and only asks for payments, possibly being condemned to a higher judicial fee than a party who does not appear and leaves a default.

Another question concerned the establishment that a party who opposes only because it wishes to receive payments and is possibly granted, receives payments and is entitled to a judicial compensation in relation to the person who must receive the payment.

The question is whether the judicial fee and this arrangement are applicable in administrative law.

The Minister has engaged in the committee to discuss all these issues with the various actors. Most of these problems do not concern the application of Article 1022 of the Judicial Code, but the application of the Royal Decree.

Therefore, the Minister has undertaken to evaluate this law and the Royal Decree, taking into account the expected decisions of the Constitutional Court and the Court of Cassation, in order thus to reach a coherent and consistent adjustment.

The article and the legislative amendment presented today deserve our attention because this amendment provides for a modification of the third paragraph of Article 1022. This proposal has the merit of addressing the problem of a party who initially did not request a reduction in court fees while he or she is entitled to it, because he or she forgot to ask it or did not know that he or she could ask for it.

This article and this adjustment provide for a possibility for the judge to actively question that party and thus collect information so that it could nevertheless reach a judgment and the reduction of the judicial fee.

However, it ⁇ ins the procedural autonomy of the parties and the rights of defence. A party will have to ask this in court and the judge will not be able to statute this ultra petita.

                    Monsieur le président, madame la ministre, monsieur le ministre, la proposition qui est débattue aujourd'hui relance le débat relatif à la répétibilité des honoraires et frais d'avocats. En effet, la pratique a fait apparaître plusieurs imprécisions et lacunes dans la loi du 21 avril 2007 relative à la répétibilité. Un groupe de travail a d'ailleurs été chargé de l'évaluation globale de cette loi.

Dans ce contexte, nous rejoignons la conclusion de ce groupe de travail selon laquelle il y a lieu d'attendre les arrêts de la Cour constitutionnelle, saisie à plusieurs reprises en cette matière, pour entamer un travail de réforme plus global de la loi.

Toutefois, la disposition qui est débattue aujourd'hui concerne un point précis qui n'a pas été discuté de manière approfondie lors de l'examen de la loi au cours de la législature précédente et qui peut donc, d'ores et déjà, être soumis au vote. Cette disposition confère au juge un pouvoir d'interpellation des parties pour qu'elles prennent position sur la possibilité pour elles de s'écarter du montant de base de l'indemnité de procédure. L'attribution au juge de ce droit d'interpellation est par ailleurs tout à fait conforme aux principes du débat contradictoire et aux droits de la défense.

Monsieur le ministre, je voudrais, toutefois, revenir sur l'un des points qui a fait débat lors de la discussion en commission, à savoir le fait que la loi organise la répétibilité des seuls frais et honoraires d'avocats au détriment de ceux du délégué syndical. En effet, le justiciable, qui choisit dans les matières où cela est possible de se faire assister par son délégué syndical, ne peut actuellement bénéficier de la répétibilité. Or, l'indemnité de procédure couvre non seulement les actes matériels accomplis au cours de cette procédure par l'avocat de la partie qui a obtenu gain de cause, mais aussi les prestations intellectuelles posées par cet avocat.

Dès lors, il n'est pas justifié d'en exclure les prestations intellectuelles que pose le délégué syndical lorsqu'il représente un travailleur devant les juridictions du travail et qui sont, en tout point, analogues à celles posées par l'avocat.

Cette discussion touche aux principes fondamentaux de notre ordre juridique, principe de l'accès effectif au juge et de l'égalité des armes mais aussi à la liberté d'association et à la liberté syndicale. Les libertés impliquent, en effet, le droit pour les organisations syndicales d'avoir des membres et de pouvoir défendre les intérêts de ceux-ci. Priver le délégué syndical de l'accès à la répétibilité a pour effet d'inciter les travailleurs à recourir aux services d'un avocat plutôt qu'à ceux d'un délégué syndical espérant ainsi bénéficier, en cas de succès de sa cause, du mécanisme de la répétibilité.

En outre, cela est de nature à inciter les employeurs à soutenir une action en justice contre un travailleur assisté d'un délégué syndical, ceux-ci ne courant pas le risque d'être condamnés à verser au travailleur une indemnité de procédure.

Dans ce contexte et dans son état actuel, la loi sur la répétibilité pourrait avoir des effets insidieux et priver les organisations syndicales d'une part substantielle de leurs membres, ce qui les contraindra à réduire, voire même à supprimer leurs services d'assistance juridique aux travailleurs, parties au litige devant une juridiction.

Mr. Minister, I would like, however, to return to one of the points that were discussed during the discussion in the committee, namely the fact that the law organizes the repeatability of only lawyer fees and fees at the expense of those of the trade union delegate. Indeed, the justiciable, who chooses in matters where it is possible to be assisted by his trade union delegate, cannot currently benefit from repeatability. However, the procedural compensation covers not only the material acts accomplished in the course of this procedure by the lawyer of the party that gained the cause, but also the intellectual services rendered by that lawyer.

Therefore, it is not justified to exclude intellectual benefits made by the trade union delegate when he represents a worker before the labour courts and which are, in any way, analogous to those made by the lawyer.

This discussion touches on the fundamental principles of our legal order, the principle of effective access to the judge and equality of weapons, but also on the freedom of association and the freedom of association. Freedoms entail the right for trade union organisations to have members and to be able to defend their interests. Depriving the trade union delegate of access to repeatability has the effect of inciting workers to resort to the services of a lawyer rather than those of a trade union delegate hoping thus to benefit, in the event of success of his cause, of the mechanism of repeatability.

In addition, this is capable of inciting employers to support a legal action against a worker assisted by a trade union delegate, who are not at risk of being condemned to pay the worker a procedural compensation.

In this context and in its current state, the repeatability law could have insidious effects and deprive trade unions of a substantial share of their members, forcing them to reduce, or even eliminate, their legal assistance services to workers, parties to the dispute before a court.

Mijnheer de minister, u zegt dat het een complex probleem is om te stellen dat voor de inspanningen van een vertegenwoordiger van de vakbond, die diezelfde zijn als de inspanningen van een advocaat op de rechtbank, ook een vergoeding zou moeten kunnen worden betaald door de verliezende partij. Ik heb daar twee reacties op.

Het lijkt mij geen complex probleem, het lijkt mij wel een groot probleem. Bij de arbeidsrechtbank, vooral gekend om haar grote toegankelijkheid, zorgen de vakbonden er door een vorm van collectieve inspanning voor dat de mensen goedkoper worden verdedigd in hun geschillen, meestal tegen bedrijven die iets sterker staan. Dit is een wetgeving die heel wat gevolgen heeft. Ik heb onmiddellijk gevraagd om met een aantal deskundigen de effecten op het terrein na te gaan. Ik ben daarmee bezig. Er zijn een heleboel zaken aanhangig voor het Grondwettelijk Hof. De uitspraken ter zake zijn cruciaal voor de richting die wij moeten inslaan. Ik heb mij geëngageerd om de vraag zoals ze werd gesteld te bestuderen.

Toen het wettelijk kader werd gecreëerd was die vraag blijkbaar niet aan de orde. Zij heeft alleszins niet geleid tot bepaalde keuzes die nu worden voorgesteld. Il n'y a pas longtemps, je rencontrais un responsable juridique d’une petite régionale syndicale qui m’expliquait que, dans le cadre de la préparation des élections syndicales, ils avaient décidé, après mûre réflexion, de porter dix affaires en justice, sachant que s’ils perdaient, ils devraient payer. Ils ont gagné huit de ces dix affaires. Ils ont dû payer pour les deux affaires perdues et ils n’ont pas reçu un euro pour les huit affaires gagnées.

Le fait que la répétibilité ne fonctionne que dans une direction met gravement en danger la possibilité pour les syndicats d’ester en justice et de faire respecter les droits de leurs adhérents. En effet, le déséquilibre introduit dans le système ne leur permet plus de se battre à arme égale avec la partie adverse dans les tribunaux.

Selon moi, la justice est basée sur cet équilibre, qui a clairement été rompu. Je soutiens donc l’amendement déposé par M. Landuyt. J’espère que nous pourrons rapidement avancer en la matière. Les propos rassurants du ministre visant à dire qu’un groupe de travail constitué de spécialistes a été créé, que ce dernier allait peut-être faire avancer les choses et se pencher sur la question à l’issue des différentes décisions qui seront prises par la Cour, ne constituent pas un engagement clair en la matière.

Het verschil is groot. Ik geef een voorbeeld. Het basisbedrag van de rechtsplegingvergoeding in een geschil voor de vrederechter dat niet in geld waardeerbaar is, is 1.200 euro. Het minimumbedrag is 75 euro, meer dan 15 keer minder.

Ook de rechterlijke macht heeft het probleem snel onderkend en gesignaleerd. Uit rechtvaardigheidsoverwegingen suggereerden heel wat rechters dan ook aan de burgers de mogelijkheid tot vermindering. Maar de vraag bleef of zij zo niet handelden buiten wat hun toegelaten is. Heel wat rechters voelen zich dan ook ongemakkelijk en doen het daarom vaak niet. Bijgevolg krijgen de burgers geen vermindering van de rechtsplegingvergoeding, omdat zij hun rechten eenvoudigweg niet kennen en ze niet vragen.

Van de burger kan niet worden verwacht dat hij steeds op de hoogte is van het feit dat hij kan vragen de rechtsplegingvergoeding te verminderen. Onderhavig voorstel, zoals geamendeerd, werkt die onrechtvaardigheid weg zonder evenwel te raken aan de fundamenten van het civiele geding.

Enerzijds, krijgt de rechter initiatiefrecht, zodat hij de partijen kan wijzen op hun recht om een afwijking van het basisbedrag van de RPV aan te vragen, hetgeen ook past in de evolutie van ons rechtsysteem van een actieve naar een proactieve rechter. On the one hand, the judge is granted the right of initiation, so that it can point out to the parties their right to request a derogation from the basic amount of the RPV, which also fits in the evolution of our legal system from an active to a proactive judge. In this way, the legislative amendment prevents people who come to the court personally from always paying the full pot, simply because they are not sufficiently informed.

On the other hand, it does not go to the extent that the court can intervene on its own and without the parties being able to submit their comments, so that the parties remain in control of the proceedings.

CD&V hopes that the judges will also make effective use of the opportunity given to them now, so that any uncertainty and injustice will be removed. After all, it is unfair that someone who goes to court personally must pay more than someone who has a lawyer or who lets go.

                    Monsieur le président, je tiens tout d'abord à remercier Mme Marghem pour son rapport écrit complet et pour l'ambiance qu'elle met en commission de la Justice et les liens qu'elle crée entre les commissaires pour arriver à un travail fructueux.

En ce qui concerne le projet de loi, la loi sur la répétibilité des honoraires, nous l'avons votée, en tout cas au cdH! Il faut savoir que la Belgique était l'un des rares pays européens où il n'existait pas un système de répétibilité des honoraires. Il était donc temps de créer l'instrument et il est effectivement temps de l'évaluer!

J'en conviens, le groupe de travail créé auprès du ministre de la Justice doit rapidement arriver à des conclusions pour pouvoir évaluer cette loi qui, peut-être, n'est pas toujours à l'avantage d'une partie. C'est à voir! La question soulevée par M. Landuyt et d'autres devra être examinée au sein de ce groupe de travail.

L'avantage de la proposition de loi d'aujourd'hui est important, puisque le projet de loi donne aux magistrats, aux juges le pouvoir d'interpeller une des parties pour éveiller l'attention de la partie la plus faible sur éventuellement le montant des frais qu'elle aura à payer. C'est un premier pas vers un pouvoir plus actif du juge. Nous avons vu que, dans d'autres pays, au Canada par exemple, le juge a un pouvoir manifeste pour faire avancer les affaires mais aussi pour protéger la partie la plus faible dans le procès. En respectant le principe dispositif comme quoi les parties sont maîtres du procès mais, en donnant quand même au juge le pouvoir de les interpeller, le projet va dans la bonne direction!

Je propose bien évidemment que la question de la représentation des syndicats et de la manière dont il faut poser le problème dans le cadre de la répétibilité des honoraires soit en tout cas un élément parmi les multiples éléments à analyser à très brève échéance pour voir comment évaluer cette loi sur la répétibilité des honoraires, tout en sachant que le représentant syndical n'a évidemment pas la même fonction, pas le même rôle et pas le même statut que l'avocat.

Le cdH votera sans état d'âme ce projet de loi qui va de l'avant!

                    Ik wil mevrouw Marghem en alle commissieleden danken voor de sfeer. Ik wil ook mijn ontgoocheling uitspreken voor het feit dat men nooit of bijna nooit mijn standpunt volgt. Dat is een algemene opmerking en meteen ook het bewijs dat de huidige meerderheid geen goede meerderheid is.

Ten tweede, dit wetsvoorstel is een stap vooruit. Ik weet heel goed wat wij hebben gemaakt. Deze wet, die wij nu reeds sociaal bijsturen, is ontstaan nadat de cassatierechtspraak ons dwong om als wetgever tussen te komen in het geval van vergoeding van de advocaatkosten ingeval iemand een proces verliest.

Men kan dat op het eerste gezicht eerlijk vinden, op het tweede gezicht ziet men dat er daaraan asociale aspecten verbonden zijn. Er zijn nu eenmaal spelers bij de rechtbank die meerdere keren optreden, die betere afspraken kunnen maken, die ook duurdere advocaten kunnen kiezen. Zomaar stellen dat de verliezende partij de advocaatkosten moet betalen, was geen goede regel.

De tweede poging die werd ondernomen in het verleden was om te zien of men de tarieven van de advocatuur kon reglementeren. Dit is niet gelukt, omdat sommigen dit niet wensten. Zelfs ik wenste dit niet meer nadat ik de voorgestelde tarieven had gezien, want dan kon men als advocaat in de provincie veel vlugger rijk worden; de Brusselse tarieven zijn niet dezelfde als die in de rest van het land.

De derde methode was om de rechtsplegingvergoeding een klein beetje aan te passen aan de realiteit en zo een soort van maximumvergoeding in te stellen voor de verdedigingskosten. Het effect op het terrein, en daarom de noodzaak aan meer dan wat vandaag gebeurt, is dat men op een creatieve wijze alle mogelijkheden zoekt om die tarieven op te drijven. In de rechtspraak en in de rechtsleer stuurt men erop aan om hiervan een winstgevend systeem voor de advocatuur te maken dat niets te maken heeft met een eerlijke verdeling.

Daarom ben ik akkoord dat wij nu uitdrukkelijk toelaten aan de rechter om tussen te komen in deze discussie en uit te lokken dat een of andere partij vraagt dat hij die rechtsplegingvergoeding verlaagt, dat hij die vergoeding verlaagt naar het wettelijk minimum als het even kan.

Ik ben dus voor hetgeen wij vandaag goedkeuren. Ik betreur alleen dat men een werkgroep van geleerde mensen nodig heeft om nog een paar andere goede maatregelen te nemen.

The third method was to adjust the judicial fee slightly to the reality and thus set a kind of maximum compensation for the defence costs. The effect on the ground, and therefore the need for more than what is happening today, is that one creatively seeks all possibilities to drive those rates up.                     Monsieur le président, mesdames et messieurs, chers collègues, le projet de loi examiné par notre commission avait pour objet de transposer les articles 38, 41 et 42 de la directive du Parlement européen ou plus exactement une partie de cette directive. Pour rappel, cette directive aurait dû être transposée pour le 29 juin 2008. Comme cela a été exposé, la Belgique a été mise en demeure de faire le nécessaire. Le gouvernement a répondu à la requête de la Commission le 17 septembre 2008.

Il est utile de préciser que le rapport au Roi, déposé avec ce projet de loi, indiquait que le but de la directive et de sa transposition en droit interne était de restaurer la crédibilité de l'information financière dans le cadre des scandales qui ont touché des sociétés par le passé. C'était pour le moins prémonitoire! Il convient de rappeler qu'en obligeant des entités d'intérêt public à instituer un comité d'audit, la directive entendait augmenter les garanties en vue d'élaborer des informations financières de grande qualité, devant ainsi renforcer la confiance du public dans le caractère sincère et complet de celles-ci. Rappelons que par "entités d'intérêt public", nous entendons les sociétés cotées.

Il nous a été précisé que le gouvernement a travaillé de concert avec la CBFA et la Banque Nationale et a consulté divers intervenants dans le secteur (FEB, IRE, Fédération royale du Notariat).

M. Brotcorne, auteur de la proposition, a rappelé que, lui aussi, souhaitait, dans le cadre de cette proposition, assurer un meilleur contrôle interne et faire en sorte que ce comité d'audit puisse jouer un rôle fondamental.

En commission, la discussion générale a porté autour des objectifs de cette proposition et de ce projet de loi. Tout le monde s'est accordé à dire qu'il s'agissait de rétablir la confiance du public dans l'information financière des institutions, plus particulièrement des institutions financières cotées en bourse. Le souci était de faire en sorte que la composition et la qualité du comité d'audit répondent à des critères de qualité et de compétence: confiance du public, qualité des personnes. Chacun s'est accordé à dire qu'il fallait que les garanties maximales soient assurées.

The draft law examined by our committee was intended to transpose Articles 38, 41 and 42 of the European Parliament Directive or, more precisely, a part of that Directive. Elle souhaitait également que ces administrateurs ne puissent pas exercer plus de deux mandats successifs au sein de la même entreprise. L'échange de vues a été courtois et chacun a exposé son point de vue, exprimant le fait que le nombre d'administrateurs indépendants n'était pas fort important pour l'heure et qu'il convenait effectivement de ne pas élargir trop les structures car on risquait de diluer les responsabilités.

Finalement, la commission a examiné des amendements de Mme Gerkens et les a rejetés.

L'ensemble des articles a été adopté par 10 voix pour et une abstention.

Dès lors, je me réjouis de l'adoption de ce texte par notre Parlement dans les minutes qui suivent, car il me paraît que c'est probablement une des premières pièces d'un puzzle beaucoup plus important qui doit rétablir cette crédibilité et qui, en la rétablissant, renforcera ou rétablira aussi la nécessaire confiance que les citoyens et les entreprises doivent avoir à l'égard des institutions financières au sens large.

Je me réjouis dès lors et me félicite de l'adoption imminente de ce texte par notre Chambre.

C'est en fait davantage le hasard qu'une première réponse à la crise du secteur bancaire et financier qui nous amène ce projet aujourd'hui, celui-ci ayant été élaboré bien avant la crise.

Ce projet est, en fait, la finalisation de la transposition d'une directive. Il oblige les entreprises à créer un comité d'audit au sein de l'organe de gestion ce, pour renforcer à la fois la solidité de l'information financière et la confiance du public dans ces informations. De plus, ce comité d'audit doit comporter au minimum un administrateur indépendant.

Sous son apparence technique, ce projet est un premier pas vers la fin d'une autorégulation pure et dure, chère à beaucoup dans ce pays, grandes entreprises et idéologues du marché en tête.

                    C'est un premier pas qui vaut toutefois la peine d'être salué surtout lorsque l'on s'attarde à ce que l'arrêt Fortis a révélé: non seulement l'autorégulation est insuffisante mais, plus surprenant, elle peut nuire aux intérêts tant des tiers que des actionnaires.

En adoptant son propre code de bonne gouvernance, Fortis a créé des attentes légitimes dans le chef de nombreuses personnes. On a laissé penser que les administrateurs étaient liés par les règles de bonne gouvernance qu'ils s'étaient eux-mêmes donné de suivre. La simple existence de ces règles a induit en erreur de nombreuses personnes quant à leurs droits et devoirs vis-à-vis de la banque. C'est là toute la particularité des règles de bonne gouvernance. Quand tout va bien, leur utilité confine à l'esthétique; quand les choses se compliquent, elles apparaissent comme inutiles, quand elles ne sont pas nuisibles.

Obliger aujourd'hui les entreprises à créer au sein de leur organe de gestion un comité d'audit avec au moins un administrateur indépendant est, je l'ai dit, un premier pas mais il faut continuer dans cette voie. Je sais que le gouvernement va nous présenter prochainement un autre projet qui aura trait cette fois aux rémunérations et aux fameux parachutes dorés. Pour mon groupe, ce sont des pans entiers des codes de bonne gouvernance, type Lippens ou autres, qui doivent maintenant et en urgence être coulés dans les textes de loi et qui, pour le reste, doivent au minimum engager sérieusement la responsabilité des administrateurs et du management en général.

C'est dans cet esprit que mon groupe a déposé une proposition de loi qui prévoit d'insérer toute une série de principes dans le Code des sociétés. Ces principes concernent la rémunération (par exemple limiter la partie variable à 30% de la partie fixe), l'amélioration de la publicité des opérations réalisées sur les titres de la société par les dirigeants d'entreprises, l'obligation d'imposer un vote de l'assemblée générale des actionnaires sur l'ensemble des éléments de la rémunération et autres avantages directs et indirects des tops managers, l'obligation pour la société de s'assurer que tous les moyens et informations sont disponibles notamment sur le site internet de la société pour permettre aux actionnaires d'exercer leurs droits, l'extension de la notion d'intérêt social de l'entreprise actuellement limitée aux seuls actionnaires aux autres parties prenantes.

Dans ce contexte et en attendant de poursuivre ces débats ô combien importants, mon groupe votera pour ce projet qui est, comme je l'ai déjà dit, un premier pas dans la bonne direction.

By adopting its own code of good governance, Fortis has created legitimate expectations in the head of many people. It was suggested that administrators were bound by the rules of good governance that they themselves had given themselves to follow. The mere existence of these rules has misled many people as to their rights and duties towards the bank. This is the particularity of the rules of good governance. When everything goes well, their usefulness limits to aesthetics; when things become complicated, they appear as useless, when they are not harmful.

Forcing today companies to set up an audit committee with at least one independent administrator within their management body is, I said, a first step, but we must continue on this path. I know that the government will soon present to us another project that will this time be related to remuneration and the famous golden parachutes. For my group, these are whole sections of good governance codes, such as Lippens or others, which must now and urgently be flooded into the texts of law and which, for the rest, must at least seriously engage the responsibility of administrators and management in general.

It is in this spirit that my group has submitted a bill proposing to incorporate a whole series of principles into the Corporate Code. These principles relate to remuneration (e.g. limiting the variable part to 30% of the fixed part), improved publicity of the transactions carried out on the company’s securities by the managers of companies, the obligation to impose a vote of the general meeting of shareholders on all elements of the remuneration and other direct and indirect benefits of top managers, the obligation for the company to ensure that all means and information are available in particular on the company’s website to enable shareholders to exercise their rights, the extension of the concept of the company’s social interest currently limited to shareholders only to other stakeholders.

In this context and awaiting the continuation of these important debates, my group will vote for this project which, as I have already said, is a first step in the right direction.

Le premier renforcement que nous visions était d'imposer dans une société cotée un nombre minimal de trois administrateurs indépendants. Pourquoi introduire cet amendement? Dans une société, diverses instances – en l'occurrence un comité d'audit exigera un administrateur indépendant, et si j'entends le ministre, un comité de rémunération et d'autres organes – devront aussi comprendre au moins un administrateur indépendant. C'est pourquoi il n'est pas superflu d'exiger un nombre minimal de trois administrateurs indépendants dans une société.

Un autre argument, constituant un des rares éléments que j'avais trouvés positifs dans la manière dont M. Lippens avait présenté son code, c'est qu'au-delà de l'indépendance des administrateurs, malgré tout assez relative, l'important est d'en disposer de plusieurs et de leur imposer d'exposer leur analyse ou leur accord vis-à-vis des activités de la société face aux autres, de manière à s'obliger mutuellement à intervenir et à déchiffrer exactement la situation, afin d'être amenés à assumer correctement ses responsabilités.

Pendant les discussions, plusieurs membres et même le représentant du ministre ont reconnu la pertinence d'imposer ce nombre minimal de trois administrateurs, mais ont cependant suggéré que cette disposition apparaisse plus haut dans la hiérarchie des lois, donc plutôt dans le Code des sociétés. J'espère donc qu'elle se trouvera dans le projet de loi qui nous parviendra prochainement.

I will allow myself to present my amendments in a more detailed way; even if they are not accepted today in this bill – what I think – they could be debated and inspired the next, much more general, project concerning the governance of these companies, addressed in a wider way than only through the audit committee.

The first reinforcement we saw was to impose in a listed company a minimum number of three independent managers. Why introduce this amendment? In a company, various instances – in this case an audit committee will require an independent administrator, and if I hear the minister, a remuneration committee and other bodies – will also need to include at least one independent administrator. Therefore, it is not superfluous to require a minimum number of three independent directors in a company.

Another argument, constituting one of the few elements that I had found positive in the way that Mr. Lippens had presented his code, which is that beyond the independence of the directors, despite all quite relative, the important thing is to have several of them and to impose on them to expose their analysis or their agreement with regard to the activities of the company in relation to others, in such a way as to obligate each other to intervene and to decipher exactly the situation, in order to be brought to properly assume its responsibilities.

During the discussions, several members and even the Minister’s representative acknowledged the relevance of imposing this minimum number of three directors, but nevertheless suggested that this provision appears higher in the hierarchy of laws, therefore rather in the Code of Companies. I hope it will be included in the bill that will come to us soon.

                    Une autre disposition que j'avais voulu introduire permettait de définir plus clairement ce qu'on attend de la part d'un administrateur indépendant. Les dispositions que je propose ne viennent pas de nulle part. Quand nous avons travaillé sur les projets de loi relatifs à la "corporate governance", au début des années 2000, nous avons introduit des dispositions qui visaient à éviter les conflits d'intérêts dans le chef des personnes accomplissant des missions de contrôle, de vérification des comptes des sociétés cotées en bourse.

Si on veut des administrateurs indépendants, il faut définir strictement dans la loi ce que ces mots veulent dire, ce qui n'est pas le cas de ce projet de loi selon nous. Pour pouvoir juger librement du fonctionnement et de la gestion d'une société, il est important à nos yeux de répondre aux critères suivants: ne plus avoir de fonctions de gestion ou de direction de la société depuis cinq ans; ne pas être lié au premier degré à des personnes exerçant un mandat de direction de cette société, donc pas le conjoint, pas les enfants; pas de mandats ou de fonctions croisés entre la société d'où vient l'administrateur indépendant et celle dans laquelle il exerce son mandat; limiter le nombre de mandats successifs à huit ans ou deux mandats car il serait difficile après tant d'années de se prétendre administrateur indépendant et apportant un regard neuf; ne pas détenir une part dans la société excédant celle que nous définissons comme maximale; enfin, ne pas avoir été associé ou salarié de l'auditeur externe de la société pendant les cinq dernières années.

Ces dispositions ont été jugées trop sévères. J'aimerais que ces dispositions soient analysées à la faveur du projet à venir, qui sera plus vaste. Si nous mettons en place des administrateurs indépendants dans toute une série d'organes et que leur indépendance ne permet pas une distance suffisante, nous vivrons les mêmes catastrophes qu'aujourd'hui: ces personnes ne pourront pas assumer leurs responsabilités.

Une des questions qui ont surgi concerne le manque de personnes capables d'assumer ce rôle d'administrateur indépendant. C'est en tout cas ce qui est dit et pensé du côté politique et peut-être chez certains gestionnaires de grandes sociétés. Si c'est le cas, nous avons l'obligation de former des administrateurs pour qu'ils soient à même d'assumer ces fonctions, pour élargir l'éventail d'administrateurs parmi lesquels nous pourrons faire un choix.

In order to be able to freely judge the operation and management of a company, it is important for us to meet the following criteria: no longer have management or management functions of the company for five years; not be bound in the first degree to persons exercising a management mandate of that company, therefore not the spouse, not the children; no mandates or cross-functions between the company from which the independent administrator comes and that in which he exercises his mandate; limit the number of successive mandates to eight years or two mandates because it would be difficult after so many years to claim independent administrator and bring a new look; not hold a share in the company exceeding what we define as the maximum; finally, not having been associated with a salary or external auditor of the company for the last five years.

These provisions were considered too severe. I would like these provisions to be analyzed in favor of the upcoming project, which will be wider. If we set up independent administrators in a whole range of organs and their independence does not allow sufficient distance, we will experience the same disasters as today: these people will not be able to assume their responsibilities.

One of the issues that have arisen is the lack of people able to assume this role as an independent administrator. At least that is what is said and thought on the political side and maybe some managers of large corporations. If this is the case, we are obliged to train administrators so that they are able to assume these functions, to expand the range of administrators among which we can make a choice.

En tant que politiques, nous nous devons de mettre en place des outils qui nous permettront d'avoir suffisamment d'administrateurs indépendants que pour pouvoir oser définir strictement ce que l'on entend par "administrateur indépendant". Il nous faut organiser de véritables outils de contrôle dans la gestion des entreprises.

Pour Mme Déom ainsi que pour mes autres collègues, j'espère que, lors de la discussion du projet qui viendra du gouvernement, nous pourrons poursuivre les travaux qui ont été entamés en commission à partir de notre proposition de loi. Madame Déom, ceux-ci permettront aussi de se pencher sur votre proposition, en vue de véritablement renforcer ces règles de transparence et de transmission d'informations vis-à-vis des actionnaires les plus faibles, c'est-à-dire ceux qui ont naturellement et spontanément le moins accès aux informations.

J'espère véritablement que notre commission poursuivra ces travaux et que nous oserons aller assez loin, en tout cas suffisamment loin que pour rejoindre les déclarations musclées qui ont été faites au moment où l'on a découvert la catastrophe dans nos banques. Cela nous a amenés à revoir de manière importante la gestion et la transparence aussi bien au niveau de la gestion que des informations. Or, au fil des jours et des semaines, on se rend compte que les exigences et l'ampleur des réformes diminuent.

Monsieur le président, j'espère pouvoir revenir dans quelques mois vous dire que mes demandes et les préoccupations du groupe Ecolo-Groen! auront été rencontrées dans le cadre du projet que le gouvernement nous transmettra.

                    Monsieur le président, un amendement a été déposé. Je crois qu'il a été distribué. Pourquoi cet amendement après le vote de l'ajustement en commission? Parce qu'entre-temps, nous avons reçu le versement de l'Union européenne relatif à ces différents montants FSE. C'est un financement européen classique: on attend que les montants soient versés par la Commission européenne pour établir le versement au niveau belge qui est le pendant de l'intervention au niveau européen. Ce montant n'avait pu être prévu car nous étions toujours dans l'attente des versements de l'Union européenne. Entre la discussion de l'ajustement et cette séance plénière, ce montant a été versé par l'Union européenne. C'est pour pouvoir honorer l'ensemble des dépenses liées à ce versement que nous devons libérer les montants au niveau belge. Il ne serait pas opportun de se priver de ces montants versés par l'Union européenne en n'acceptant pas cette dépense complémentaire.

C'est la raison pour laquelle cet amendement a été déposé et surtout pour laquelle il l'a été à ce moment-là dans le cadre de la discussion de l'ajustement budgétaire.

De regering is al te laat met haar begrotingscontrole. Ik zal straks in mijn uiteenzetting een aantal elementen ter zake naar voren brengen. De bespreking in de commissie is afgesloten. Nu krijgen wij hier op de banken een bijkomend amendement van de regering.

Het is niet mijn bedoeling om de werkzaamheden van de plenaire vergadering stil te leggen door het ontwerp terug naar de commissie te laten verwijzen. Op een gegeven moment moet de huidige regering zich echter schikken naar een aantal geplogenheden die in de Kamer al jaren van toepassing zijn. Ik heb altijd geweten dat, wanneer er amendementen van de regering zijn, de werkzaamheden in de commissie worden hervat.
