Mijnheer de voorzitter, mijnheer de minister, collega's, de CD&V zal zich met betrekking tot dit wetsontwerp onthouden.
Dit wetsontwerp is een kleine correctie aan een falende fiscale wetgeving en komt voor een gedeelte tegemoet aan wetsvoorstel nr. 763, ingediend door de collega's Pieters, Bogaert en mijzelf, dat ertoe strekte de toepassing van het verlaagd tarief en een aantal andere fiscale voordelen voor KMO's afhankelijk te maken van de criteria van artikel 15 van het Wetboek van vennootschappen.
De minister diende dit ontwerp in als antwoord op de vernietiging door het Arbitragehof van een gedeelte van artikel 196 van het Wetboek van inkomstenbelastingen. Wij betreuren dat dit wetsontwerp andermaal uiting geeft van een fragmentarische aanpak, zonder visie op ondernemingen en fiscaliteit en investeringen en tewerkstelling, op een moment dat de werkloosheid piekt en het aantal faillissementen een historisch record bereikt.
Ik betreur eveneens de steriele manier waarop dit wetsontwerp op 22 juni in de commissie werd behandeld. Van pagina 4 tot pagina 10 van het schriftelijk verslag vindt u mijn argumentatie. Ik ga ze niet herhalen. Het antwoord van de minister beperkte zich tot de bemerking dat dit wetsontwerp een positieve maatregel is, hetgeen natuurlijk een erg zwakke verdediging is voor een dergelijk wetsontwerp.
Ik vond het ronduit ergerlijk dat de commissie weigerde om de bespreking van het ontwerp uit te stellen tot na de hoorzitting over de vennootschapsbelasting, die de dezelfde namiddag zou plaatsvinden. Ondanks het feit dat ook voorzitter de Donnea deze vraag genegen was, werd ze op voorstel van de minister weggestemd. Ik was erg verwonderd over de houding van de VLD — ik zie dat men weer talrijk aanwezig is — een partij die de mond vol heeft over de bescherming van de KMO's, maar die dit wetsontwerp geen discussie waard vond. Straffer nog, 's namiddags op de hoorzitting, waar 12 experts uit de bedrijfswereld en de academische wereld aanwezig waren rond het onderwerp vennootschapsbelasting en KMO — met vertegenwoordigers van VBO, VOKA, Union Wallonne des Enterprises, Unizo, Union des Classes Moyennes, Belgisch Instituut voor Accountants en Fiscale Raadgevers, professor Autenne van de UCL, professor Haelterman van de KUL en professor Verhoeye van de Hogeschool Gent — was de VLD andermaal afwezig.

This bill is a small correction to a failing tax legislation and is partly in line with Bill No. 763, submitted by colleagues Pieters, Bogaert and myself, which aimed to make the application of the reduced rate and a number of other tax benefits for SMEs subject to the criteria of Article 15 of the Company Code.
The Minister submitted this draft as a response to the destruction by the Arbitration Court of a part of Article 196 of the Income Tax Code. We regret that this bill once again reflects a fragmentary approach, without a vision on companies and taxation and investments and employment, at a time when unemployment peaks and the number of bankruptcies reaches a historic record.
I also regret the sterile way in which this bill was dealt with in the committee on 22 June. From page 4 to page 10 of the written report you can find my argument. I will not repeat them. The Minister’s response was limited to the observation that this bill is a positive measure, which, of course, is a very weak defense for such a bill.
I found it quite annoying that the committee refused to postpone the discussion of the draft until after the hearing on corporate tax, which would take place the same afternoon. Despite the fact that President de Donnea was also pleased with this question, she was abstained on the proposal of the Minister. I was very surprised at the attitude of the VLD — I see that there is a number again — a party that is full of mouths about the protection of small and medium-sized enterprises, but which found this bill not worth discussion. Even more striking, in the afternoon at the hearing, where 12 experts from the business and academic world were present on the subject of corporate tax and KMO — with representatives of VBO, VOKA, Union Wallonne des Enterprises, Unizo, Union des Classes Moyennes, Belgian Institute of Accountants and Fiscal Advisors, professor Autenne of the UCL, professor Haelterman of the KUL and professor Verhoeye of the University of Gent — the VLD was again absent.

Ik verwijs naar de interessante toelichting die de eerste minister hier vorige week gegeven heeft en naar de absenties die hij meende te moeten aanhalen met betrekking tot een andere commissie. Het is niet mijn gewoonte — en ik wens er ook geen traditie van te maken — om dergelijke bemerkingen te maken. Als de eerste minister van dit land echter het voorbeeld geeft, kan ik niet anders dan zijn voorbeeld volgen.
Ik neem dus de absentielijst en ik zal eerst de afwezigen vermelden. De heer Daems Hendrik, afwezig. De heer Goris Stef, afwezig. Ik werk een beetje in de traditie van de eerste minister van vorige week. De heer Borginon Alfons, afwezig. De heer Cortois Willy, afwezig. De heer Pinxten Karel, afwezig. Mevrouw Turtelboom Annemie, afwezig. De heer Bart Tommelein heeft inderdaad tweemaal de zaal betreden. Ik wil dat graag bevestigen. Men was nochtans beter aanwezig geweest, zowel de minister als de leden van de VLD, want dan hadden zij kennis kunnen nemen van de enorme problemen van het bedrijfsleven, alsook van een aantal suggesties. Er werd uiteengezet dat België nu reeds niet meer competitief is inzake vennootschapsbelasting. Andere landen zitten niet stil. Er zijn reeds belastingverminderingen van de vennootschapsbelasting aangekondigd in Oostenrijk, Finland en Nederland. Bovendien bestaat in België een groot onderscheid tussen het nominaal tarief en het werkelijk tarief. Door de toename van het aantal verworpen uitgaven stijgt de reële belastingdruk. In dit verband werd door de aanwezigen schande gesproken van de nietaftrekbaarheid van gewestelijke belastingen die verstrekkende gevolgen hebben voor milieu-intensieve bedrijven en bedrijven met kleine winstmarges.
Het onderscheid in fiscale druk tussen grote ondernemingen en KMO's is bijzonder hoog. Een KMO betaalt dubbel zoveel belastingen als een grote onderneming. Dit is ook wel een discussie waard.
Er bestaat een fundamenteel probleem in de financiering van de KMO's. De investeringsreserve is zo complex dat er nagenoeg geen beroep op wordt gedaan. Er bestaat trouwens een handboek van Peter Verbanck dat 100 pagina's beslaat en dat betrekking heeft op de investeringsreserve. Dat is natuurlijk ook een manier om te besparen: men maakt de reglementering zo ingewikkeld dat niemand er nog aan uit kan en er dan ook geen beroep op doet. Door professor Hauthel werd gesteld dat de fiscale tegemoetkomingen te zeer op de investeringen gericht zijn en dat men beter de voorkeur zou geven aan fiscale tegemoetkomingen aan de financieringsbronnen.
Mijnheer de minister Reynders, ik heb vorige dinsdag een discussie met u gehad in de commissie voor de Financiën. Ik heb daar vastgesteld dat u een aantal ideeën hebt rond de gelijke fiscale behandelingen van het eigen vermogen en het vreemd vermogen in vennootschappen. Mijnheer de minister, we zitten daar op dezelfde golflengte.
Ik heb echter wel vastgesteld dat u, op het moment dat we concreet werden en dat ik u vroeg of uw coalitiecoalitiepartners akkoord gingen met deze ideeën, het antwoord schuldig bleef. Ik heb vastgesteld, kijkende naar de banken van de PS-commissieleden, dat men weinig enthousiast was over hetgeen u verteld had. De kans op realisatie van deze ideeën is dus spijtig genoeg beperkt.
Andere problemen hebben betrekking op de rechtsonzekerheid rond de DBI. Ik kan natuurlijk zo doorgaan, want het aantal problemen dat aangeraakt werd door deze bedrijfsleiders, door deze experts was bijzonder groot. Mijnheer de minister, het viel mij ook op dat de Vlaamse bedrijven ongedurig beginnen te worden en dat ze niet meer nemen dat zo'n beleid wordt gevoerd. Het woord werd genomen door de heer Muyters, afgevaardigd bestuurder van het VOKA, de koepel die de Kamers van Koophandel en het vroegere Vlaams Economisch Verbond overkoepelt. Hij heeft duidelijk gezegd dat de regionalisering van de vennootschapsbelasting een dringende te realiseren eis is.
Het gaat dan over regionalisering in die zin dat opcentiemen of afcentiemen kunnen worden geheven.
Mijnheer de minister, al deze onderwerpen waren wel degelijk een bespreking waard, zowel voor uzelf als voor VLD. Het wetsontwerp dat thans voorligt, is loodgieterwerk. Het is geen oplossing. Het fiscale KMO-beleid staat volledig op de helling. Dat weet u heel goed. Er is de uitspraak van het Arbitragehof. Er is het advies van de Raad van State, dat ook bij dit wetsontwerp klaar en duidelijk is. Het stipuleert dat het winstcriterium niet kan.
Mijnheer de minister, het is trouwens ook bijzonder onlogisch dat een bedrijf of onderneming het ene jaar een KMO is, het volgende jaar — afhankelijk van de winst — geen KMO is en dat het bedrijf het derde jaar zou moeten wachten op de fiscale controle om te weten of het een KMO is. Dat is geen manier van werken. De Raad van State en ook het Arbitragehof hebben zich duidelijk uitgesproken. U weet dat er in de loop van de volgende jaren vier andere vernietigingsarresten zullen volgen. Een goed, vooruitziend beleid zou erin bestaan om nu een aantal voorstellen te formuleren die rekening houden met de adviezen van het Arbitragehof en de Raad van State en met de adviezen die worden gegeven door het bedrijfsleven en door de deskundigen uit de academische wereld.
Ik veronderstel echter dat u daarmee andermaal geen rekening zult houden.

There is a fundamental problem in the financing of SMEs. The investment reserve is so complex that it is virtually not used. There is, by the way, a manual by Peter Verbanck that covers 100 pages and relates to the investment reserve. This, of course, is also a way to save money: regulation is so complicated that no one can expect it and therefore does not appeal to it. Professor Hauthel argued that the tax benefits are too much focused on investments and that it would be better to prefer tax benefits to the sources of financing.
Mr. Minister Reynders, I had a discussion with you last Tuesday in the Committee on Finance. I found there that you have some ideas about the equal tax treatment of equal and foreign equity in companies. We are in the same wavelength.
However, I have found that at the time we became concrete and that I asked you whether your coalition partners agreed to these ideas, you remained guilty of the answer. I have found, looking at the banks of the PS commissioners, that one was little enthusiastic about what you had told. The possibility of realization of these ideas is, unfortunately, limited.

Monsieur le président, je n'étais pas présent en commission mais je voudrais quand même expliquer le vote d'abstention du cdH sur ce projet de loi. L'article 215 définit en effet les critères que doivent remplir les entreprises pour bénéficier d'un taux réduit à l'impôt des sociétés. Mais d'autres mesures dépendent de la bonne volonté des sociétés à remplir l'ensemble des conditions de l'article 215 du Code des impôts sur les revenus. Pour pouvoir bénéficier du système du crédit à l'impôt, pour ne pas devoir payer les majorations pour absence de versement anticipé, pour ne pas voir leurs amortissements calculés "prorata temporis", les sociétés doivent remplir les conditions visées à l'article 215 du Code des impôts sur les revenus.
La Cour d'arbitrage s'est saisie de ce problème dans un de ses aspects bien précis: la référence à l'article 215 pour les sociétés qui veulent bénéficier d'avantages en matière d'amortissement, qui veulent ne pas être obligées de calculer leurs amortissements "prorata temporis". Pour bénéficier de ce système en matière d'amortissement, les sociétés doivent remplir les conditions de l'article 215 et notamment celle de ne pas dépasser un bénéfice net imposable prédéfini. La Cour d'arbitrage a bien dit — il me semble avoir lu et compris son arrêt — que ce critère de bénéfice net imposable n'est pas une condition pertinente pour bénéficier d'un avantage en matière d'amortissement. La Cour d'arbitrage ne voit pas le lien entre un système d'amortissement et le bénéfice net imposable d'une société. Il n'y a pas de rapport, pas de pertinence de critère. Dès lors, la Cour d'arbitrage a décidé que cette mesure devait être annulée.
Monsieur le ministre, vous déposez ici un texte qui répond à ce point bien précis. En effet, ce texte ne me semble plus attaquable devant la Cour d'arbitrage. Seulement, vous savez comme moi qu'à côté de ce système d'amortissement, d'autres systèmes dépendent également des critères de l'article 215, que ce soit pour le crédit d'impôt, la majoration pour absence de versement anticipé ou la réserve d'investissement. Il me semble que le raisonnement de la Cour d'arbitrage en matière d'amortissement peut être retenu tout autant pour ces autres mesures qui dépendent de l'article 215.
L'occasion était vraiment exceptionnelle pour vous de pouvoir utiliser cet arrêt de la Cour d'arbitrage pour uniformiser le système et faire en sorte que ces mesures extérieures au taux d'impôt, que ce soit en matière de réserve d'investissement ou de versement anticipé, ne dépendent plus de cet article 215. Vous auriez pu vous servir du raisonnement de la Cour d'arbitrage pour uniformiser le système et ne plus faire dépendre les sociétés de leur bénéfice net imposable. On peut comprendre qu'une société éprouve certaines difficultés à planifier ses finances ou son budget, en matière d'investissement, d'amortissement ou de versement anticipé lorsque l'ensemble de ces mesures dépendent de leur bénéfice net imposable. Comment voulez-vous qu'une société puisse savoir à l'avance ce qu'elle va gagner en fin d'année et l'ensemble des mesures qui en seront la conséquence, que ce soit au niveau de l'impôt ou de ces mesures annexes?
Si la société, parce qu'elle a été bien gérée, qu'elle a gagné de l'argent et qu'elle a bien fonctionné, dépasse un bénéfice net imposable d'un montant que je ne connais pas par coeur mais qui figure à l'article 215, elle ne peut plus bénéficier du taux réduit; de même, l'ensemble des mesures qui en découlent tombe également, que ce soit en matière d'amortissements, point sur lequel la Cour d'arbitrage statue, mais aussi en matière de réserve d'investissements et de majoration des versements anticipés.
Monsieur le ministre, j'avais déjà souligné ce problème lorsque vous aviez augmenté le revenu minimum des administrateurs. J'avais dit que la même chose se produisait. En effet, une société qui aurait donné trop peu à son administrateur retomberait dans une tranche d'imposition supérieure. Dès lors, elle peut moins facilement planifier son budget et sa comptabilité. Cela gêne véritablement la gestion des sociétés, cela ne leur permet pas d'avoir une sécurité juridique en la matière.
C'est la raison pour laquelle, monsieur le ministre, j'ai déposé une proposition de loi, que vous avez certainement lue, qui unifie la notion de PME et la rend beaucoup plus cohérente. Cette notion doit être la même dans l'ensemble des mesures, que ce soit pour bénéficier du taux réduit ou de l'ensemble des autres mesures en matière de versements anticipés, d'amortissements et de réserve d'investissements. Il faut pouvoir unifier.
Dès que la société remplit les critères tant qualitatifs que quantitatifs qui entrent dans notre définition de la PME et qui figurent dans la proposition de loi, elle peut bénéficier de l'ensemble de ces mesures fiscales qui sont bonnes - vous n'allez pas me contredire, monsieur le ministre - et qui peuvent permettre aux PME d'avoir le statut qui leur est dû et qu'elles doivent avoir. De cette façon, le véritable tissu économique de notre Belgique, ces 240.000 PME savent si, oui ou non, elles entrent dans le critère de définition d'une PME, si, oui ou non, elles peuvent bénéficier de l'ensemble de ces mesures annexes au niveau fiscal et si, oui ou non, elles peuvent bénéficier de ce taux réduit en matière d'impôt des sociétés.
En conclusion, monsieur le ministre, je pense que, si vous avez ponctuellement répondu à la Cour d'arbitrage, vous n'avez pas saisi la perche qu'elle vous tendait en vue de rendre la politique en matière fiscale plus cohérente au niveau du soutien aux PME et de permettre aux sociétés d'investir à long terme, d'avoir une sécurité juridique correcte en vue d'une meilleure gestion de notre tissu économique, de nos 240.000 PME de Belgique.

In order to benefit from this system of amortization, companies must meet the conditions set out in Article 215 and in particular the requirement not to exceed a pre-defined taxable net profit. The Court of Arbitration has correctly stated — it seems to me that it has read and understood its judgment — that this criterion of taxable net profit is not a relevant condition for receiving an amortisation advantage. The Arbitration Court does not see the link between a depreciation system and a company’s taxable net profit. There is no report, no relevance of criteria. Therefore, the Court of Arbitration decided that this measure should be cancelled.
Mr. Minister, you submit here a text that responds to this very specific point. In fact, this text is no longer appealable before the Court of Arbitration. Only, you know like me that in addition to this depreciation system, other systems also depend on the criteria of Article 215, whether for the tax credit, the increase for lack of advance payment or the investment reserve. The opportunity was truly exceptional for you to be able to use this decision of the Arbitration Court to uniformise the system and ensure that these measures outside the tax rate, whether in terms of investment reserve or advance payment, no longer depend on this Article 215. You could have used the reasoning of the Arbitration Court to uniformise the system and no longer make companies dependent on their taxable net profit. Mr. Minister, I had already highlighted this problem when you had increased the minimum income of administrators. I said the same thing was happening. Indeed, a company that gave too little to its administrator would fall into a higher tax rate. Therefore, it can be easier to plan your budget and accounting. This really hurts the management of companies, it does not allow them to have legal certainty in the matter.
That is why, Mr. Minister, I submitted a bill, which you have ⁇ read, which unifies the notion of SMEs and makes it much more coherent. This concept must be the same in all measures, whether to benefit from the reduced rate or from all other measures regarding advance payments, amortization and investment reserve. We must be able to unite.
As soon as the company fulfils both the qualitative and quantitative criteria that are included in our definition of SME and that are included in the bill, it can benefit from all these fiscal measures that are good – you will not contradict me, Mr. Minister – and that can allow SMEs to have the status that is due to them and that they must have. In this way, the true economic fabric of our Belgium, these 240,000 SMEs know if, yes or not, they enter the criterion for defining a SME, if, yes or not, they can benefit from all these annexed measures at the tax level and whether, yes or not, they can benefit from this reduced rate in matters of corporate tax.
In conclusion, Mr. Minister, I think that, if you answered the Court of Arbitration on a timely basis, you did not seize the penalty it placed on you in order to make tax policy more coherent in terms of support to SMEs and to allow companies to invest long-term, to have proper legal certainty in order to better manage our economic tissue, our 240,000 SMEs in Belgium.

Monsieur le président, je voudrais rappeler que si le gouvernement a dû se remettre au travail concernant cette disposition, c'est parce qu'on a vécu le phénomène de l'arroseur arrosé. Des entreprises ont voulu soumettre le texte à la Cour d'arbitrage en espérant que la disposition soit annulée en vue de maintenir l'ancien système d'amortissement pour tout le monde, en ce compris les grandes entreprises, et c'est l'inverse qui s'est évidemment produit.
Il faut se rendre compte que c'est une situation étonnante. Ce sont des entreprises qui ont finalement obtenu devant la Cour d'arbitrage de pénaliser les entreprises elles-mêmes. Cela devient une habitude, tout à l'heure on parlait d'un parlementaire qui a obtenu devant le Conseil d'Etat de favoriser les fraudeurs alors qu'en principe sa formation politique était contre sur le plan éthique. C'est le phénomène de l'arroseur arrosé qui arrive de temps en temps.
Par ailleurs, ce que dit M. Wathelet est exact. Nous avons remédié à la situation provoquée par l'arrêt de la Cour d'arbitrage sur un point particulier, mais en permettant à quelques dizaines de milliers d'entreprises de plus de bénéficier des dispositions particulières concernant les PME dans notre nouvelle législation en matière d'impôt des sociétés. Ce texte est non seulement une correction mais aussi une amélioration. Je m'étonne dès lors que des groupes qui parlent sans arrêt du soutien à apporter aux PME s'abstiennent sur un texte qui ne fait qu'améliorer la situation d'un certain nombre de PME qui n'étaient pas visées dans le texte précédent.
Enfin, je n'exclus pas la possibilité d'aller plus loin. Nous aurons l'occasion de débattre à nouveau de l'impôt des sociétés probablement lors de la prochaine année parlementaire et je souhaite qu'on puisse encore progresser dans cette matière. J'hérite ici d'un texte très ancien qui a été appliqué pendant de très nombreuses années et nous le corrigeons au fur et à mesure des possibilités de l'agenda. Je pense que c'est déjà une très bonne chose que cette correction soit apportée et qu'elle conduise à une amélioration de la situation d'un grand nombre d'entreprises qui n'étaient pas visées par la disposition précédente.
