Mijnheer de voorzitter, mijnheer de minister, collega's, dit ontwerp tot oprichting van een Kruispuntbank van Ondernemingen, tot modernisering van het handelsregister en tot oprichting van erkende ondernemingsloketten bestaat in feite uit twee hoofdstukken, die weinig of niets met elkaar te maken hebben.
Het eerste luik handelt over het uniek identificatienummer voor de bedrijven. Het tweede luik handelt over de invoering van de ondernemersloketten. Dat het ontwerp uit twee delen bestaat, blijkt uit de bespreking in de commissie voor het Bedrijfsleven. De bepalingen die betrekking hebben op de bevoegdheden van minister Picqué en Daems werden volledig los van elkaar behandeld. Ik betreur dat minister Picqué niet aanwezig is bij deze bespreking omdat beide luiken, dat van minister Picqué en dat van minister Daems, twee belangrijke componenten zijn.
Mijn betoog is opgesplitst in twee grote delen. De Hoge Raad voor de Zelfstandigen en de KMO en de Centrale Raad voor het Bedrijfsleven wijzen op de risicovolle impact op het normale economische leven. Bij de verwezenlijking van deze wet is het volgens de Hoge Raad voor de Zelfstandigen en KMO onontbeerlijk dat de rechtszekerheid op ieder moment absoluut gewaarborgd wordt. De raad vreest dat de continuïteit van de openbare dienstverlening in het gedrang zal komen bij een overhaaste invoering. Daarom pleit de Hoge Raad voor Zelfstandigen en KMO evenals de CRB voor een spoedige maar doordachte realisatie van dit project. Ze vragen een globaal stappenplan en een zorgvuldige uitwerking van alle deelprocessen volgens een realistische timing. De Hoge Raad voor Zelfstandigen en KMO vraagt eveneens terecht dat de kruispuntbank van de ondernemingen en de integratie van andere overheidsdiensten zoals het handelsregister operationeel moeten zijn voor de ondernemingsloketten hun rol kunnen vervullen. Dit betekent dat eerst het luik van minister Picqué moet gerealiseerd zijn en daarna dat van minister Daems. De regering is op dit voorstel ingegaan en schuift als begindata respectievelijk 1 januari 2003 en 1 juli 2003 naar voren.
Men kan zich afvragen waarom de regering beide luiken aan elkaar gekoppeld heeft.
En vooral, heeft de regering daarmee de voortgang in de administratieve vereenvoudiging gediend? Men kan niet ontkennen dat de koppeling van deze twee onderdelen in één ontwerp als belangrijk gevolg heeft dat de regering daardoor veel vertraging heeft opgelopen met haar programma voor de administratieve vereenvoudiging. Vooral daardoor is op het vlak van de administratieve vereenvoudiging de voorbije vier jaar nog bijzonder weinig gerealiseerd. Maar goed, het was natuurlijk politiek ondenkbaar dat een socialistische minister een jaar of twee geleden met de Kruispuntbank van Ondernemingen had kunnen uitpakken, terwijl een liberale minister nog volop aan het knoeien was met zijn ondernemingsloket.
Mijnheer de minister, het eerste deel gaat inderdaad over de Kruispuntbank van Ondernemingen. Ik had graag gehad dat minister Picqué hier aanwezig was, omdat daarover nog een aantal vragen bestaat.
Laten wij duidelijk stellen dat het eerste voorontwerp van wet op het uniek identificatienummer nog dateert van de regering-Dehaene. Op het einde van de vorige legislatuur, bijna vier jaar geleden, heeft de regering-Dehaene nog een wetsontwerp in het Parlement ingediend. Wij hebben dan ook in het begin van deze legislatuur dat wetsontwerp omgezet in een wetsvoorstel. Dat ligt er nu drie en een half jaar. Vandaag ligt een tekst voor die qua principes en filosofie nauw aansluit bij ons wetsvoorstel en het wetsontwerp van de regering-Dehaene. Het enige verschil bestaat in juridisch-technische verbeteringen die aan de tekst zijn aangebracht. Bij ons weten zijn die technische verbeteringen al twee jaar klaar. Sindsdien liggen zij in de lade van de minister van Economie, omdat zij daar werden geblokkeerd door liberale excellenties.
Volgens de toelichting is een van de doelstellingen van het ontwerp de realisatie van een structurele vereenvoudiging voor de ondernemingen door toepassing van het principe van de unieke inzameling van gegevens. Met andere woorden, men belet dat dezelfde informatie meermaals zou worden opgevraagd door verschillende overheidsdiensten.
In tweede instantie gaat het om de verhoging van de efficiëntie van de overheidsdiensten. Met het ontwerp wordt de Kruispuntbank van Ondernemingen belast met het opnemen, het bewaren, het beheren en het ter beschikking stellen van gegevens die betrekking hebben op de identificatie van de ondernemingen, niet meer en niet minder. De daarmee gepaard gaande invoering van een uniek ondernemingsnummer heeft tot doel, door de realisatie van het principe van de unieke gegevensinzameling, de administratieve verplichtingen opgelegd aan de ondernemingen, te vereenvoudigen en de werking van de overheidsdiensten efficiënter te organiseren. De centralisatie van identificatiegegevens en de daarbij horende toekenning van een uniek identificatienummer moet ertoe leiden dat bekende gegevens over de identiteit niet meer dan één keer mogen worden opgevraagd.
De implementatie van het wettelijk kader dat hier voorligt, is geen eenvoudige opdracht. Een van de cruciale factoren voor het slagen van het project is de beschikbaarheid over een performant, geïntegreerd informaticasysteem voor alle betrokkenen. Daarbij wil ik een aantal kanttekeningen maken.
Ten eerste, het gaat hier alleen over identificatiegegevens van bedrijven. Het ontwerp regelt de centralisatie van die identificatiegegevens, maar ook niet meer dan dat. De overheidsdiensten en semi-overheden zoals de RSZ, de Nationale Bank van België, de fiscus en het NIS zullen onafhankelijk van elkaar blijven en inhoudelijke gegevens opvragen aan de ondernemingen. Informatieverstrekking over de omzet, de personeelsbezetting en andere bedrijfsgegevens blijven de aloude wegen volgen. Met betrekking tot die gegevens moeten bedrijven keer op keer dezelfde informatie geven aan al de overheidsinstanties die de informatie opvragen. Het domein van de kruispuntbank is in deze opstartfase en voor de volgende jaren zeer beperkt. Ik zeg daarbij dat het een eerste stap in de goede richting is, maar ook niet meer dan dat.
Ik heb nog een tweede kanttekening. In dit kader vragen wij ons af hoe het zit met die andere nummers, zoals het BTW-nummer, het RSZ-nummer en het handelsregisternummer. Worden die nummers afgeschaft? Vanaf wanneer worden die nummers afgeschaft? Die vraag is al iets moeilijker te beantwoorden. Is de informatica hiervoor reeds aanwezig in bijvoorbeeld de RSZ-administratie?
We hebben vorige week in de commissie voor de Sociale Zaken de multifunctionele aangifte besproken. In die aangifte is nog sprake van het INSZ-nummer. Mijnheer de minister, dat nummer wordt dus niet gekoppeld aan het unieke identificatienummer.

Mr. Speaker, Mr. Minister, colleagues, this proposal for the establishment of a Cross-point Bank of Enterprises, for the modernisation of the Commercial Register and for the establishment of recognised business locks consists in fact of two chapters, which have little or nothing to do with each other.
The first loop is the unique identification number for the companies. The second issue concerns the introduction of entrepreneurial locks. That the draft consists of two parts, shows from the discussion in the committee for business. The provisions relating to the powers of Minister Picqué and Daems were treated completely separately. I regret that Mr. Picqué is not present at this discussion because the two loops, that of Mr. Picqué and that of Mr. Daems, are two important components.
My discussion is divided into two large parts. The High Council for Self-employed and SMEs and the Central Council for Business point out the risky impact on the normal economic life. In the implementation of this law, it is indispensable that legal certainty is absolutely guaranteed at all times. The Council fears that the continuity of public service will be compromised by a hasty implementation. Therefore, the High Council for Self-employed Persons and SMEs, as well as the CRB, call for a prompt but thoughtful realization of this project. They demand a global step plan and a careful elaboration of all subprocesses according to a realistic timing. The High Council for Self-Employed Persons and SMEs also rightly asks that the cross-point bank of the companies and the integration of other public services such as the Commercial Register must be operational in order for the corporate lockets to fulfill their role. This means that first the luke of Minister Picqué must be realized and then that of Minister Daems. The Government has accepted this proposal and forwarded as starting dates 1 January 2003 and 1 July 2003 respectively.
One may wonder why the government has linked the two loops together.
And above all, has the government thus served the progress in administrative simplification? It cannot be denied that the linking of these two components into one draft has as an important consequence that the Government has therefore suffered a considerable delay in its programme for administrative simplification. In particular, in terms of administrative simplification, in the last four years there has been very little achievement. But well, it was, of course, politically unthinkable that a socialist minister could have gotten out with the Crosspoint Bank of Enterprises a year or two ago, while a liberal minister was still full-blown with his enterprise lock.
Mr. Minister, the first part is indeed about the Cross Point Bank of Enterprises. I would have liked that Minister Picqué was present here, because there are still a few questions about this.
Let us make it clear that the first preliminary draft law on the unique identification number still dates from the Dehaene government. At the end of the previous legislature, almost four years ago, the Dehaene government submitted another bill to Parliament. At the beginning of this legislature, we converted that bill into a bill. That is now three and a half years. Today is a text that, in terms of principles and philosophy, closely aligns with our bill and the bill of the Dehaene government. The only difference lies in the legal-technical improvements made to the text. We know that these technical improvements have been done for two years. Since then they are in the chest of the Minister of Economy, because they were blocked there by liberal excellences.
According to the explanatory note, one of the objectives of the draft is to ⁇ structural simplification for companies by applying the principle of single data collection. In other words, it prevents the same information from being requested repeatedly by different government agencies.
The second is about increasing the efficiency of public services. With the draft, the Cross Point Bank of Companies is charged with recording, storing, managing and making available data relating to the identification of the companies, no more and no less. The associated introduction of a unique enterprise number aims, by implementing the principle of unique data collection, to simplify the administrative obligations imposed on enterprises and to organize the functioning of public services more efficiently. The centralization of identification data and the associated assignment of a unique identification number should ensure that known identity data may not be requested more than once.
The implementation of the legal framework presented here is not an easy task. One of the crucial factors for the success of the project is the availability of a performance, integrated information system for all stakeholders. In this regard, I would like to make a few comments.
First, this is only about the identification data of companies. The draft regulates the centralization of those identification data, but not more than that. Public and semi-governmental agencies such as the RSZ, the National Bank of Belgium, the Fiscal Service and the NIS will remain independent of each other and will request substantial data from the companies. Providing information on turnover, employment and other business data continues to follow the old ways. With regard to that data, companies must repeatedly provide the same information to all public authorities that request the information. The domain of the cross-point bank is very limited in this start-up phase and for the following years. This is a first step in the right direction, but no more than that.
I have a second point of view. In this context, we wonder what happens to those other numbers, such as the VAT number, the RSZ number and the trade register number. Will these numbers be removed? When will these numbers be removed? That question is already a little harder to answer. Is the information technology for this already present, for example, in the RSZ administration?
We discussed the multifunctional declaration in the Social Affairs Committee last week. In that declaration is still the INSZ number. That number is therefore not linked to the unique identification number.

Het was niet evident om in de commissie op al die vragen een antwoord te krijgen. We hebben ons dan maar laten informeren door andere commissies naar aanleiding van andere ontwerpen door andere ministers. Laten we echter zeggen dat er op 1 januari 2003 inderdaad een traject in gang wordt gezet dat wellicht tot 2005 zal duren. Het zal dan afgerond geraken.
Wat er op 1 januari 2003 verandert, zal niet zo gek veel zijn. Van de loketten is er nog helemaal geen sprake. Daar kom ik straks nog op terug. Op 1 januari 2003 zouden het handelsregisternummer en het BTW-nummer in principe hetzelfde moeten zijn. We zullen zien.
Anderzijds zullen ondernemingen bijvoorbeeld voor de RSZ nog altijd een apart nummer moeten aanvragen. Wat er later mee gebeurt, zien we dan wel. Ook blijft de overheid alle ondernemingen vragen hun oude nummers nog te gebruiken, op zijn minst tot eind volgend jaar.
Mijnheer de minister, het ziet er dus naar uit dat op korte termijn er veeleer een nummer bijkomt dan dat er nummers zullen verdwijnen. Maar goed, we kunnen daar in deze moeilijke opdracht nog begrip voor opbrengen.
Dat brengt ons tot de tweede conclusie. De weg naar een enig nummer is nog lang. Daardoor is het ontwerp op het enig identificatienummer een ontwerp van de vorige regering dat zal worden uitgevoerd door de volgende regering. Een derde belangrijke kanttekening is dat het vanuit het oogpunt van de ondernemingen niet altijd zinvol is om een onderscheid te kunnen maken tussen de federale overheid en de overheden op andere niveaus. Hoe de samenwerking met de gewestelijke overheden zal verlopen is ons tot op vandaag onduidelijk. We hebben daar ook geen duidelijk antwoord op gekregen in onze vragen. Deze waren voornamelijk aan minister Picqué gericht. Het enige dat we te weten gekomen zijn is dat er gesprekken lopende zijn met Gemeenschappen en Gewesten. In ieder geval, er ligt geen uitgewerkt overeenkomstscenario op tafel. Dat zal echter niemand verbazen. De deur voor samenwerking met de Gewesten is nog niet volledig opengezet, maar ze is zeker ook niet gesloten omdat de principiële mogelijkheid is ingeschreven in het ontwerp.
Dit brengt ons tot een derde conclusie, namelijk dat de federale en de regionale overheden hier een unieke kans hebben laten liggen om vandaag met dit project van de unieke identificatie met gebundelde krachten naar bedrijven toe te gaan. Voor de bedrijven is dit immers allemaal hetzelfde. De federale overheid of de gewestelijke overheid is voor hen de overheid.
Dan komen we tot de dimensie van het virtuele loket. Artikel 9 van het ontwerp voorziet in de mogelijkheid dat de Koning de modaliteiten en de aard van de inschrijvingen en de wijzigingen vastlegt zodat de ondernemingen rechtstreeks op een elektronische wijze alle gegevens kunnen meedelen aan de Kruispuntbank.
In welke mate de regering echt met de uitbouw van een virtueel loket rekening houdt is en blijft onduidelijk. Het heeft alle schijn van een vrome intentieverklaring. Op de vraag welke concrete maatregelen de regering al genomen heeft om dit elektronisch loket uit te bouwen, kregen we geen antwoord tenzij het antwoord via een amendement waarmee wij absoluut geen genoegen konden nemen. Men kan zich trouwens afvragen of er wel echt politieke wil is om dat elektronisch loket uit te bouwen. Zal dit elektronisch loket de levensvatbaarheid van de fysieke loketten niet aantasten terwijl er zelfs zonder het elektronisch loket al veel vragen zijn over de financiële haalbaarheid van de fysieke loketten?
Een van de eerste grote uitdagingen van de Kruispuntbank is de inschrijving van al de bestaande bedrijven. Blijkbaar zal de conversie automatisch en gratis gebeuren. Onduidelijk is hoe de juistheid van de gegevens zal worden geverifieerd. Wat zal men nu doen als blijkt dat de gegevens uit de verschillende overheidsbestanden van elkaar verschillen? Zal men een briefje sturen naar de bedrijven ter verificatie? Hoe zal het juiste antwoord moeten worden gesteld? Wat als men niet antwoordt? We vrezen dus met een Kruispuntbank van start te gaan met heel wat foutieve gegevens waarvan niemand weet of ze en hoe ze ooit zullen worden rechtgezet. Daarmee duikt de vraag naar een concreet en realistisch stappenplan opnieuw op, een stappenplan waar het bedrijfsleven naar gevraagd heeft. We hebben duidelijk gesteld of het niet beter was geweest om eerst alle bestaande bedrijven in de Kruispuntbank op te nemen dan deze gegevens te verifiëren, te controleren volgens duidelijke procedures en zo met een schone lei te vertrekken terwijl we nu wellicht met een niet-juiste databank zullen opstarten.
Tweede luik, de ondernemingsloketten. Het tweede luik van het wetsontwerp gaat over de invoering van ondernemingsloketten. Deze loketten worden private VZW's die de interface vormen tussen de federale overheid en de bedrijven.
De Kamers van Ambachten en Neringen, het actuele front office van het Ministerie van middenstand, worden afgeschaft. Iedereen die aan de wettelijke voorwaarden voldoet, kan een ondernemingsloket uitbaten. Het is geen opdracht die wordt uitbesteed aan de meest biedende. Dat, samen met de idee van de bundeling van de interface tussen de bedrijven en de overheid, zijn dan ook ongeveer de enige twee lichtpunten in dit luik van het ontwerp.
Tijdens de hoorzittingen van de Kamer van Ambachten en Neringen werd opgeworpen dat een aanzienlijk deel van het politieke milieu en de ondernemerswereld zeer sceptisch staan tegenover de financiële en functionele basis van dit project. Zelfs de initiatiefnemers zouden er her en der twijfel over hebben gezaaid. Men verwijst daarvoor naar aarzelingen binnen de regering om het voorontwerp goed te keuren en naar de vertraagde indiening van dit ontwerp in de Kamer. Of er van de bepalingen van dit luik van het ontwerp veel in huis zal komen, blijft voor ons ook nog onduidelijk.
De regering heeft principieel geopteerd om een aantal opdrachten, die tot op heden tot de exclusieve bevoegdheid van de overheid behoren, in de toekomst te laten vervullen door private VZW's. Voortaan zal de privé-sector dus controlerende overheidstaken op zich nemen. De Hoge Raad voor Zelfstandigen en de KMO neemt daar gewoon akte van. Het initiatief stuit kennelijk niet op enthousiasme in de ondernemerswereld. Dat is ook gebleken tijdens de hoorzittingen en uit de verschillende adviezen die over het ontwerp werden afgeleverd.
Als de ondernemerswereld niet laaiend enthousiast is over dit paradepaardje van de VLD, waar ligt dit dan aan? Het antwoord is eenvoudig: iedereen weet dat de VLD met de ondernemingsloketten een machtsspel speelt om een positie te veroveren op het schaakbord van de bedrijvenorganisaties. We mogen bij de bespreking van dit ontwerp niet vergeten dat alles begonnen is met de pogingen van minister Gabriëls om de Kamers van Ambachten en Neringen, een semi-overheidsinstelling, te liquideren ten gunste van privé-organisaties waarin Gabriëls zich kennelijk goed voelde.
De regering schaft met het ontwerp de Kamers van Ambachten en Neringen af. Vijf jaar geleden werd er nog in de kamers geïnvesteerd. Vandaag worden ze om VLD-politieke doeleinden afgeschaft. Het is kafkaiaans de minister van Middenstand op een mondelinge vraag van mij op 2 juli 2002 te horen antwoorden dat de Kamers van Ambachten en Neringen nog het best werkende element van allemaal zijn. Enkele maanden later stelt dezelfde minister voor de kamers af te schaffen. Leuk land waarin we leven! Schaf af wat goed is, de modelstaat België krijgt gestalte.
Terwijl de federale wetgever vandaag de ondernemingsloketten lanceert, lanceert de Vlaamse decreetgever de huizen van de economie, nog wel — wat kan het lot wreed zijn — op initiatief van minister Jaak Gabriëls. Dat is het antwoord van de Vlaamse regering op de administratieve vereenvoudiging voor de ondernemers. In iedere Vlaamse provincie wordt er een huis voor de Vlaamse economie opgericht. Met de installatie van de huizen is er in de Vlaamse provincies nog slechts één fysiek adres per provincie voor de ondernemingen. In essentie is het huis van de Vlaamse economie een uniek loket, een breed en laagdrempelig aanspreekpunt voor ondernemers en ondernemers in spe. Ze moeten beschouwd worden als front office voor de Vlaamse administratie, zowel wat het economieluik betreft, als de werkgelegenheid en het toerisme, alsook wat betreft Flanders Investment and Trade. Die elementen worden geïncorporeerd in de Vlaamse huizen voor economie. De beslissing terzake impliceert een pooling van Vlaamse diensten in de provincies, met name de provinciale vertegenwoordiging van Export Vlaanderen en van Vizo, en een herpositionering van de gewestelijke ontwikkelingsmaatschappijen. Er wordt voorzien dat tijdens de eerste maanden van 2003 een aantal huizen kan worden geopend. Het gaat ons hier natuurlijk niet over de concrete modaliteiten van die hervorming.
Het gaat erover dat de Vlaamse overheid een heel andere weg opgaat dan de federale overheid. Het gaat erover dat de Vlaamse overheid een front office per provincie opricht, terwijl de federale overheid haar front office die nu in elke provincie bestaat, namelijk de Kamer van Ambachten en Neringen, afschaft. De federale overheid pleit, onder impuls van de liberalen, voor een privatisering van de overheidstaken, de Vlaamse overheid privatiseert niet.
Iedereen ziet dat hier een unieke kans tot samenwerking lag. Helaas druist het ontwerp radicaal in tegen elke samenwerking tussen federale en regionale overheid. Wat goed is, moet worden afgeschaft. Wat niet bestaat, moet worden opgebouwd. Dit is paarsgroen, geen consistente visie, geen coördinatie tussen de Gewesten en de federale overheid, alleen afbreken en uit het niets scheppen.
Wat betreft de rechtszekerheid, zijn zowel de Raad van State als de Hoge Raad voor de Zelfstandigen en de KMO's van oordeel dat de hiërarchie tussen de wettelijke normen niet wordt gerespecteerd vermits de Koning de mogelijkheid wordt geboden de van kracht zijnde wettelijke bepalingen op te heffen, aan te vullen, te wijzigen of te vervangen in het kader van de operationalisering van de ondernemingsloketten. Hierdoor dreigt het gevaar van een juridisch vacuüm met nefaste gevolgen voor de ondernemingen. Immers, bij ontstentenis van de noodzakelijke wettelijke bekrachtiging van de besluiten tot wijziging van diverse wettelijke bepalingen, rijst de vraag van de omkeerbaarheid van de procedures en de geleden schade. Dit risico is des te groter omdat we aan het eind van een legislatuur zijn en omdat de genomen besluiten zeer waarschijnlijk pas na de verkiezingen, en dus door een nieuw samengesteld Parlement zullen moeten worden bekrachtigd.
Rechtsonzekerheid is niet alleen nefast voor de ondernemingen wiens rechtmatige belangen in gevaar dreigen te worden gebracht, maar ook voor de wettelijk opgerichte overheidsdiensten, zoals de Kamers van Ambachten en Neringen en het Handelsregister en hun respectievelijke personeelsleden die over een aantal wettelijke rechten beschikken die inherent zijn aan hun opdracht.
Tot slot, er is een gebrek aan duidelijke bepalingen in de wetgeving omtrent de loketten. De Hoge Raad voor de Zelfstandigen en de KMO is van oordeel dat het oprichten van loketten pas kan indien vooraf aan een aantal zeer strikte voorwaarden is voldaan. Zo meent de Hoge Raad voor de Zelfstandigen en de KMO dat de bepalingen inzake de ondernemingsloketten gekenmerkt worden door een veel te grote vaagheid. Voor een goede werking is het nochtans van belang dat zowel de taken, de erkenningvoorwaarden, de verplichtingen, de vergoedingen als het toezicht en de controle ondubbelzinnig en zo nauwkeurig mogelijk gedefinieerd worden. De gebruikte omschrijvingen in artikel 43 zijn zeer vaag. De bepaling: "over de nodige uitrusting beschikken" wordt bijvoorbeeld niet gedefinieerd. Ook "...en/of over voldoende eigen financiële draagkracht te beschikken" staat er zonder specificatie.
De Raad is van oordeel dat de bepalingen te vaag zijn om bijvoorbeeld de erkenningdossiers voor het oprichten van een ondernemingsloket objectief te kunnen beoordelen. Tijdens de bespreking in de commissie bleek waarom die bepalingen zo vaag moesten zijn. Minister Daems wil immers de handen vrij hebben om zelf te beslissen wie waar een loket kan oprichten en wie dat niet zal krijgen. De minister verklaarde op een bepaald ogenblik dat hij ervoor zou zorgen dat die loketten voldoende gespreid over het grondgebied zouden functioneren, ook al is er geen enkele wettelijke bepaling die hem die bevoegdheid geeft. In ieder geval is door de uitspraken van de minister duidelijk geworden dat wat de betrokkenen vrezen, de waarheid is. De vaagheid van de wettelijke bepalingen dient enkel en alleen om politieke bemoeienissen mogelijk te maken. Alle actoren zijn de komende weken beter op hun hoede als zij hun rechten willen vrijwaren!
Wat de werkingsmiddelen voor de loketten betreft, blijven er ongelooflijk veel vragen over. De taken die de ondernemingsloketten moeten vervullen, zijn zeer ruim. Zij moeten niet alleen de administratieve formaliteiten ten aanzien van alle federale administraties verrichten, ook moeten zij het inzagerecht voor gegevens uit het handelsregister verzekeren, alsook de verplichte archivering en de bijkomende verplichtingen — zoals het kosteloos verstrekken van inlichtingen, het inzagerecht verschaffen, en het afgeven van afschriften of uittreksels aan de overheid. Veel van die opdrachten moeten zij gratis uitvoeren. De Hoge Raad voor de Zelfstandigen en de KMO wijst er dan ook op dat het noodzakelijk is dat de vergoedingen die de overheid aan de ondernemingsloketten toekent, voldoende ruim zijn en bovendien geen nadelig financieel effect hebben voor de ondernemingen zelf. Het is uiteraard van belang dat die middelen tijdig bekend zullen zijn, zodat de aanvraag tot erkenning door degenen die een loket willen opstarten, met kennis van zaken kan gebeuren.
Op de vraag hoe de regering de inkomens- en uitgavenstroom van die loketten ziet, kwam er geen antwoord. De minister wist het op dat ogenblik nog niet. Misschien weet hij het nu?
In artikel 55 van het ontwerp is er sprake van een percentage dat de loketten voor zich zouden mogen houden. De minister wist ons wel te zeggen dat de loketten op 1 juli van start gaan, maar wist niet te zeggen hoe hoog dat percentage zal zijn. Merkwaardig, minister Daems wist wel dat het de bedrijven niet meer zal kosten dan vandaag, wat betekent dat er aan tarieven tussen 50 en 100 euro wordt gedacht. Ondertussen is de notificatie van de Ministerraad van 19 juli 2002 bij mij beland. Daar staat in punt 2 — over de modernisering van de openbare besturen met als agendapunt de kruispuntbank en de ondernemingsloketten — dat "het voorontwerp aan het Staatshoofd mag worden voorgelegd met het oog op indiening bij de Kamer van Volksvertegenwoordigers, met dien verstande echter dat er zal voor gezorgd worden dat de ontvangsten aan griffierrechten voor inschrijvingen en wijzigingen in het handelsregister en het ambachtenregister gecompenseerd worden".
Vandaar dat ik u nog een aantal bijkomende vragen wil stellen, mijnheer de minister. Deze notificatie kwam mij immers slechts ter ore na onze discussie in de commissie.
Kunt u dit toelichten? Betekent dit dat het percentage dat de ondernemingsloketten mogen behouden, nul kan zijn? Zo zei u het, maar dan komt u niet tegemoet aan de vraag die door de Ministerraad werd genotificeerd, tenzij er andere middelen tegenoverstaan. Of betekent dit dat de rechten toch stijgen?
Graag een antwoord op deze vragen naar aanleiding van de notificatie.

It was not obvious that in the committee to get an answer to all these questions. We have then been informed by other committees following other drafts by other ministers. However, let us say that on 1 January 2003 a path is indeed set in place that may last until 2005. It will then be completed.
What will change on January 1, 2003 will not be so strange a lot. There is no mention of the locks at all. I will return to that later. As of 1 January 2003, the trade register number and the VAT number should in principle be the same. We will see.
On the other hand, companies will still need to apply for a separate number for the RSZ, for example. What happens later, we will see. The government also continues to ask all companies to continue using their old numbers, at least until the end of next year.
Therefore, Mr. Minister, it seems that in the short term a number will be added rather than numbers will disappear. But well, we can bring understanding to that in this difficult task.
This brings us to the second conclusion. The road to a single number is still long. As a result, the draft on the single identification number is a draft of the previous government that will be implemented by the next government. A third important point of view is that it does not always make sense from the business perspective to be able to distinguish between the federal government and the governments at other levels. How the cooperation with the regional authorities will proceed is unclear to us to this day. We also did not get a clear answer to this in our questions. These were mainly addressed to Minister Picqué. The only thing we have learned is that there are ongoing talks with Communities and Regions. In any case, there is no elaborate agreement scenario on the table. However, this will not surprise anyone. The door for cooperation with the Regions has not yet been fully opened, but it is ⁇ not closed as the principle possibility is inscribed in the design.
This brings us to a third conclusion, namely that the federal and regional governments have missed a unique opportunity here today with this project of unique identification with joined forces to go to companies. For companies, it is all the same. The federal government or the regional government is for them the government.
Then we come to the dimension of the virtual lock. Article 9 of the draft provides for the possibility for the King to determine the modalities and nature of the tenders and the amendments so that the undertakings can communicate all data directly by electronic means to the Cross Point Bank.
To what extent the government really takes into account the development of a virtual lock is and remains unclear. It has all the appearance of a devout declaration of intent. On the question of what concrete measures the government has already taken to build this electronic box, we received no answer except the answer through an amendment which we could absolutely not satisfy. One can ask, by the way, whether there is really political will to build that electronic lock. Will this electronic lock not affect the viability of the physical locks while even without the electronic lock there are already many questions about the financial feasibility of the physical locks?
One of the first major challenges of the Crosspoint Bank is the registration of all existing companies. Apparently, the conversion will happen automatically and free of charge. It is unclear how the accuracy of the data will be verified. What will now be done if it turns out that the data from the different government records differ from each other? Will a letter be sent to the companies for verification? How will the correct answer be given? What if they do not answer? So we are afraid to start with a Cross Point Bank with a lot of false data that no one knows if they are and how they will ever be corrected. This again raises the demand for a concrete and realistic step plan, a step plan that the industry has requested. We have made it clear whether it would not have been better to first include all existing companies in the Cross Point Bank than to verify these data, to verify according to clear procedures and thus leave with a clean lei while we might now start with an incorrect database.
The second section, the business locks. The second section of the draft law concerns the introduction of corporate lockets. These locks become private VZWs that form the interface between the federal government and the companies.
The Chambers of Ambachten and Neringen, the current front office of the Ministry of Medium State, will be abolished. Anyone who meets the legal conditions can take advantage of a corporate lock. It is not an assignment that is outsourced to the most bidder. That, along with the idea of bundling the interface between companies and government, are therefore about the only two lightpoints in this loop of design.
During the hearings of the Chamber of Employees and Neringen it was raised that a significant part of the political environment and the business world are very skeptical of the financial and functional basis of this project. Even the initiators would have sowed here and the doubt about it. It refers to hesitation within the government to approve the preliminary draft and to the delayed submission of this draft to the Chamber. Whether some of the provisions of this luke of the design will come into the house, remains unclear for us as well.
The Government has, in principle, opted to have a number of assignments, which have so far belonged to the exclusive competence of the government, fulfilled in the future by private VZWs. From now on, therefore, the private sector will take on controlling government tasks. The High Council for Self-Employed Persons and the SMEs simply take note of this. The initiative apparently does not strike enthusiasm in the entrepreneurial world. This has also been demonstrated during the hearings and from the various opinions delivered on the design.
If the entrepreneurial world is not overly enthusiastic about this parade horse of the VLD, what is it about? The answer is simple: everyone knows that the VLD with the enterprise lockets plays a power game in order to seize a position on the chessboard of the enterprise organisations. When discussing this draft, we must not forget that everything began with the attempts of Minister Gabriëls to liquidate the Chambers of Employees and Neringen, a semi-governmental institution, in favor of private organizations in which Gabriëls apparently felt well.
With the draft, the Government removes the Chambers of Employees and Nering. Five years ago, there were investments in the rooms. Today they are abolished for VLD political purposes. It is Kafkaian to hear the Minister of Middle-Earth on a verbal question from me on 2 July 2002 answer that the Chambers of Employees and Nering are still the best working element of all. While the federal legislature today launches the enterprise lockets, the Flemish decree-maker launches the houses of the economy, yet — which may be the fate cruel — on the initiative of Minister Jaak Gabriëls. This is the response of the Flemish government to the administrative simplification for entrepreneurs. In each Flemish province, a house for the Flemish economy is established. With the installation of the houses, there is only one physical address per province for the companies in the Flemish provinces. In essence, the house of the Flemish economy is a unique lock, a wide and low-threshold point of contact for entrepreneurs and entrepreneurs in spe. As regards legal certainty, both the State Council and the High Council for Self-Employed Persons and SMEs are of the opinion that the hierarchy of legal standards is not respected as the King is given the possibility to repeal, supplement, amend or replace the existing legal provisions in the context of the operationalization of the enterprise locks. This threatens the risk of a legal vacuum with harmful consequences for companies. Indeed, in the absence of the necessary legal ratification of the decisions amending various legal provisions, the question of the reversibility of the procedures and the damage suffered arises. This risk is even greater because we are at the end of a legislature and because the decisions taken will most likely not have to be ratified until after the elections, and therefore by a newly formed Parliament.
Legal uncertainty is detrimental not only for companies whose legitimate interests are threatened to be compromised, but also for the legally established public services, such as the Chambers of Ambachten and Neringen and the Commercial Register and their respective staff members who have a number of statutory rights inherent in their assignment.
Finally, there is a lack of clear provisions in the legislation regarding the lockets. The High Council for Self-Employed Persons and SMEs is of the opinion that the establishment of cabinets is only possible if a number of very strict conditions are met in advance. For example, the High Council for Self-Employed Persons and SMEs considers that the provisions concerning corporate lockets are characterized by a far too large vagueness. However, for the proper functioning, it is important that both the tasks, the conditions of recognition, the obligations, the fees as well as the supervision and control are defined unambiguously and as accurately as possible. The descriptions used in Article 43 are very vague. For example, the provision “have the necessary equipment” is not defined. Also "and/or have sufficient own financial capacity" is stated without specification.
The Council considers that the provisions are too vague to allow for an objective assessment, for example, of the recognition dossiers for the establishment of a business unit. During the discussion in the committee, it was revealed why those provisions must be so vague. Minister Daems wants to have the hands free to decide who can set up a lock and who will not get it. The Minister stated at one point that he would ensure that those locks would function sufficiently spread across the territory, even though there is no legal provision giving him that power. In any case, the ministry’s statements have made it clear that what those concerned fear is the truth. The vague nature of the legal provisions serves only to enable political interference. All actors will be more careful in the coming weeks if they want to safeguard their rights!
As for the means of action for the locks, there are incredibly many questions. The tasks that the enterprise locks should perform are very extensive. They must not only carry out the administrative formalities in respect of all federal administrations, they must also ensure the right of access to data from the trade register, as well as the mandatory archiving and the additional obligations — such as the provision of information free of charge, the right of access, and the provision of copies or extracts to the government. Many of these tasks must be performed free of charge. The High Council for Self-Employed Persons and SMEs therefore points out that it is necessary that the remuneration granted by the government to the business lockets is sufficiently large and, in addition, does not have a detrimental financial impact on the companies themselves. It is of course important that those resources will be known in a timely manner, so that the application for recognition by those who wish to start a lock can be done with knowledge of things.
To the question of how the government sees the revenue and expenditure flow of those cabinets, there was no answer. The minister did not know at that time. Maybe he knows it now?
Article 55 of the draft stipulates a percentage that the locks should be allowed to hold for themselves. The Minister was able to tell us that the locks will start on July 1, but was unable to say how high that percentage will be. Curiously, Minister Daems knew that it would not cost the companies more than today, which means that tariffs between 50 and 100 euros are considered. Meanwhile, the notification of the Council of Ministers of 19 July 2002 arrived at me. Mijnheer de minister, dit is de notificatie van de vergadering van 19 juli 2002, betreffende het voorontwerp van wet tot oprichting van een Kruispuntbank van Ondernemingen, enzovoort. Dat was het punt A.
Het punt B is het tot stand brengen van de diensten voor het beheer en de controle van de ondernemingsloketten in het kader van de Kruispuntbank van Ondernemingen.
Het gaat over de notificatie, waar in punt twee duidelijk wordt bepaald dat dit aan de Koning ter ondertekening mag worden voorgelegd, wanneer er wordt gezorgd, door u, dat de ontvangsten aan griffierechten voor inschrijvingen en wijzigingen in het Handelsregister en het Ambachtenregister worden gecompenseerd.
Mijn vraag is hoe dit in zijn werk zal gaan. U zei dat het ook kon uitdraaien op een nultarief en mijn vraag is of u dit kunt garanderen, dan wel of dat betekent dat er andere middelen moeten worden aangeboord.
De antwoorden die u verstrekte in de commissie geven mij sterk de indruk dat de rendabiliteit van de loketten niet samenhangt met het vooropgestelde percentage, maar dat de loketten bijkomende diensten zullen uitvoeren waarvoor de prijsbepaling vrij zal zijn.
De Hoge Raad voor Zelfstandigen en KMO's drong erop aan dat er een duidelijk onderscheid zou bestaan tussen de wettelijke taken zoals vastgelegd in het ontwerp en de bijkomende diensten, zonder dat hierbij enige vorm van verplichte koppeling mogelijk is. Bovendien vraagt de Hoge Raad voor de Zelfstandigen en de KMO's zich af of er geen duidelijke grenzen moeten worden aangegeven voor deze bijkomende diensten. Dit laatste gebeurt gedeeltelijk en op een bepaald ogenblik hebben boekhouders, accountants en fiscalisten gereageerd omdat zij vreesden dat zij een deel van de koek zouden verliezen.
Van de minister mochten die belangengroepen hun verhaal niet in de commissie voor het Bedrijfsleven brengen, maar wel op het kabinet. Wat daar is gebeurd, dat weten wij niet. Wij weten alleen dat tussen de minister en de beroepsgroepen een akkoord werd bereikt, waarvan de finaliteit ons ontsnapt.
In ieder geval, het akkoord leidde tot een amendement dat de facto en de jure voor de betrokken beroepsgroepen niets verandert. Maar goed, een akkoord is een akkoord en wij gaan er wijselijk van uit dat hun probleem inderdaad is opgelost. Voor alle zekerheid hebben wij echter nog een amendement toegevoegd, om deze garantie duidelijk in te schrijven. Hiermee is evenwel nog niets gezegd over het principiële probleem dat zich stelt met de aanvullende diensten. In principe kunnen wij ermee akkoord gaan dat overheidstaken worden geprivatiseerd. Er zijn nog meer overheidstaken geprivatiseerd. In dat verband denk ik aan de autokeuring.
Het wordt echter wel problematisch, mijnheer de minister, wanneer de leden van de private VZW die het ondernemingsloket zullen uitbaten, tegelijk aan de ondernemingen andere diensten aanbieden. Zullen zij niet geneigd zijn toegevender te zijn ten aanzien van hun eigen leden dan ten aanzien van de niet-leden?
Als we even de analogie doortrekken, kunnen we de vraag stellen of het opportuun zou zijn om een autokeuringsbedrijf — een privé-dienst — ook herstellingen te laten verrichten of te laten instaan voor het onderhoud van voertuigen. Dat lijkt mij ondenkbaar. Hetzelfde moet voor de ondernemingsloketten worden gegarandeerd.
Ik kom tot mijn besluit. Het voorstel om ondernemingsloketten op te richten, past in de opbouw van de modelstaat België. De Vlaamse overheid bouwt the front office in eigen regio uit, de federale overheid bouwt ze af. De Kamers van Ambachten en Neringen functioneren volgens minister Daems goed, dus hij schaft ze af. De overheid controleert niet langer. De privé-sector moet dat doen. Om het allemaal wat gemakkelijker te maken, controleert de controleur zijn eigen werk.
Het wetsontwerp omvat twee delen. Wij steunen ten volle de oprichting van de Kruispuntbank van Ondernemingen. We steunen de idee van een uniek loket, maar we pleiten voor een samenwerking tussen het regionale niveau en het federale niveau ten gunste van de bedrijven. We hebben bezwaren tegen de concrete vormgeving van de ondernemingsloketten.
We steunen dus het deel van minister Picqué, maar het deel van minister Daems steunen we niet.

If we go through the analogy for a moment, we might ask whether it would be appropriate to have a car clearing company — a private service — also perform repairs or have car maintenance. That seems unthinkable to me. The same must be guaranteed for the enterprise lockets.
I come to my decision. The proposal to establish enterprise lockets fits in the construction of the model state Belgium. The Flemish government builds the front office in its own region, the federal government decomposes it. Pendant plusieurs années, on a essayé de répondre à ce souhait de simplification administrative en tentant de mettre en oeuvre diverses mesures. Je ne sais pas très bien lesquelles. Mme Greet Van Gool a notamment agi dans ce dossier mais cela s'est avéré inefficace sans le recours au numéro unique d'identification, d'ailleurs demandé par les entreprises depuis très longtemps. L'option choisie a finalement été d'organiser en cette matière, à la fois un lieu de collecte de données, la Banque-Carrefour, et un relais décentralisé via les guichets d'entreprises. Nous ne pouvons évidemment qu'être favorables à la création de ces organismes. L'aspect perturbant du projet dont nous discutons est que, pendant que nous y travaillons et pendant sa mise en place, toute une série d'interrogations vont surgir. A mon avis, il va sans doute falloir prendre des mesures correctrices. Cette organisation va demander une évaluation permanente en termes administratifs et politiques. Dès lors, j'aimerais formuler la demande — vous me direz que nous n'aurons qu'à prendre l'initiative — pour que, de manière régulière, par exemple trimestrielle, on puisse suivre la mise en place de cette banque centrale de données — qui doit évidemment se coordonner avec toutes les autres banques de données mises en place sous cette législature — et celle des guichets d'entreprises.
J'ai néanmoins quelques compléments d'information à vous demander; en effet, en commission, nous avons dû travailler relativement vite non seulement en étant confrontés au changement de ministre mais également en étant associés, en même temps, aux discussions relatives à la loi-programme et à d'autres projets.
Certaines de mes questions rejoignent celles de Mme Pieters dont celle concernant les tâches qui incomberont aux guichets d'entreprises. Certaines de ces tâches sont spécifiées dans le projet. Par ailleurs, il est indiqué que les guichets d'entreprises pourront rendre d'autres services, un paiement complémentaire à celui qui sera prévu pour les fonctions premières pouvant être demandé. A ce moment-là se pose la question des offres conjointes ou des services privilégiés à certains clients si ces clients recourent également aux services complémentaires.
Monsieur le ministre, vous avez répondu à ce sujet que le service fédéral de contrôle vérifiera. Cela ne me semble pas aussi évident. Aussi, j'aurais tendance à dire qu'il serait intéressant que les guichets d'entreprises rendent les missions qui sont celles d'un guichet d'entreprise et que les services complémentaires soient rendus par les associations et les organisations qui pourront créer ces guichets, au sein de leur entité originaire et différenciée.
Un autre questionnement concerne le coût. En l'occurrence, je voulais vérifier si ma compréhension était bien exacte. Les entreprises recourront aux guichets d'entreprises et s'inscriront à la Banque-Carrefour. Actuellement, elles paient déjà des droits d'inscription et des timbres.
Il est dit que cela ne coûtera pas un franc de plus aux entreprises. Des échos nous rapportent que le droit d'inscription ne suffirait pas à couvrir ces frais de missions. Par rapport à cela, vous avez dit que vous procédiez à des simulations, des évaluations et que, s'il s'avérait que le coût des missions à remplir par les guichets d'entreprises était supérieur au droit d'inscription payé par elles, il serait possible d'envisager un financement complémentaire via l'Etat. J'aimerais m'assurer que j'ai bien compris cette information.
En consultant le cahier des charges figurant sur votre site internet, j'ai vu que les guichets d'entreprises vont remplir des missions de service public et qu'à ce titre, ils vont devoir respecter la législation sur l'emploi des langues. Quelle sera la situation des guichets à Bruxelles, à ce niveau? Exigera-t-on du personnel qu'il réponde à la fois aux entrepreneurs néerlandophones et aux entrepreneurs francophones? Chaque personne engagée sera-t-elle attachée à un seul rôle linguistique? Y aura-t-il des guichets francophones et des guichets néerlandophones?
J'ai une question relative au rapport. Vous n'étiez pas présent lorsque nous l'avons approuvé en commission. En page 40, on parle de la disparition des Chambres des Métiers et Négoces. En 2004, elles ne seraient donc plus présentes au sein du Conseil supérieur des Classes moyennes et des PME. Le rapport précise que c'est le Conseil supérieur des Classes moyennes et des PME qui disparaît en 2004. Je suppose qu'il s'agit d'une erreur et qu'il survivra à la disparition des Chambres des Métiers et Négoces. Il faudra probablement rectifier la page 40 du rapport sur nos discussions.
Je me réjouis également que nous ayons pu en, commission, postposer la traduction en termes législatifs des différents arrêtés qui vont devoir être pris. Dans le projet initial, le délai prévu était d'un an, nous l'avons porté à deux ans. Je pense que la concrétisation de ces projets nécessitera de passer par le stade des essais et erreurs, des confrontations à la réalité et des transpositions, lorsque les choses seront bien claires entre les différents intervenants.
Néanmoins, je me permettrai de formuler une remarque sur le caractère privé de ces guichets d'entreprises. Je n'ai pas d'a priori positif ou négatif par rapport à cela. Je n'ai pas d'a priori concernant les chambres des métiers et négoces telles qu'elles existent maintenant. Il y a cependant un raisonnement qui m'échappe. On va recourir à des structures privées, de façon à permettre une concurrence entre elles, laquelle devrait susciter une amélioration dans la qualité de services rendus. Si une saine concurrence peut, effectivement, engendrer des effets positifs, il n'en demeure pas moins que cette démarche s'inscrit dans le cadre de missions bien définies de service public. Par conséquent, je pense que la concurrence n'entraînera pas systématiquement une amélioration de la qualité des services et que la fonction de contrôle sera particulièrement importante pour veiller à ce que les services soient rendus correctement.
Dans l'ensemble, ce projet répond à des attentes des acteurs du terrain. Je rejoins évidemment la préoccupation de Mme Pieters au sujet de la nécessaire coordination des guichets fédéraux et régionaux. Certes, j'aimerais connaître la façon dont on procédera pour y arriver. Cela rejoint ma demande d'évaluation trimestrielle dans la concrétisation de ce projet.

Overall, this project meets the expectations of the field actors. I obviously agree with Ms. Pieters’ concern regarding the necessary coordination of the federal and regional offices. Of course, I would like to know how we will proceed to ⁇ this. This joins my request for a quarterly evaluation in the implementation of this project.

Ik doe dat graag, want ik weet dat de minister gehaast is. Het komt er dus op aan het wetsontwerp goed te keuren en er niet meer te lang over te praten. Het gaat hier inderdaad om een mijlpaal in de geschiedenis van de administratieve vereenvoudiging en egovernment. Gedaan met de administratieve rompslomp, die tot nu toe wordt geschat tussen 5 en 8 miljard euro, eventueel zelfs tot 5.000 euro per werknemer in de KMO's of bij de zelfstandigen. Wij moeten die administratie op een geaccelereerde wijze vereenvoudigen, zodat de KMO's en zelfstandigen daarvan gebruik kunnen maken. Dat is trouwens een van de prioriteiten van deze regering, die vandaag wordt gerealiseerd. Het gebeurt misschien niet aan het tempo dat sommigen wensen, maar de verlaging van die lasten zal toch wel veel ademruimte geven aan de bedrijven en een stimulans vormen voor het ondernemingsschap.
Er zijn drie doelstellingen.
Ten eerste is er de doelmatigheid. Vanaf morgen zou de administratieve vereenvoudiging een feit moeten worden. Verschillende registers worden in een ondernemingsregister samengevoegd.
Ten tweede komt er een eenmalige gegevensinzameling. Het is ermee gedaan dat iedere keer dezelfde gegevens bij verscheidene administraties moeten worden ingezameld, nieuwe documenten aangevraagd en bijgehouden enzovoort. De meest recente gegevens worden gebundeld in de Kruispuntbank.

I think the know-how will be preserved. All know-how is brought together in one organization to prevent fragmentation and overlap.
The corporate closet will create added value for the business. Of course, the necessary safeguards in terms of neutrality, speed, efficiency and legal certainty must be incorporated. De nos jours, devenir commerçant s'apparente effectivement à un véritable parcours du combattant. Avant de pouvoir demander l'inscription au registre de commerce, plusieurs étapes sont indispensables. Tout d'abord, il faut préalablement ouvrir un compte bancaire ou postal. Ensuite, il faut être en possession d'une carte professionnelle si l'on est étranger résidant en Belgique; disposer des autorisations et attestations nécessaires selon les types d'activités que l'on veut exercer et/ou la nature des produits que l'on va produire, distribuer, vendre ou utiliser. Ensuite, il faut demander une carte d'ambulant si l'on veut vendre sur des marchés ou faire du porte-à-porte, apporter la preuve que l'on bénéficie effectivement de l'accès à la profession si l'on veut exercer l'une des 42 professions réglementées. Enfin, il faut apporter la preuve d'une connaissance de gestion de base qu'il faut demander à la Chambre des métiers et négoces.
Seulement une fois ces démarches effectuées, l'inscription au registre de commerce peut être demandée. Ensuite, il s'agira encore de demander l'inscription à la TVA, avec les durées connues de tous, de remplir des obligations comptables, de s'affilier à une caisse d'assurance sociale ainsi qu'à une mutuelle. Toutes ces démarches visent à créer une entreprise. Je vous épargne les démarches obligatoires pour se lancer comme indépendant à titre principal ou complémentaire.
Une fois cette entreprise créée, il faut ensuite la gérer. Sur ce point aussi, la quantité des démarches administratives à effectuer est importante. Je ne vous citerai que les déclarations trimestrielles à la TVA. Cependant, maints petits détails sont encore à régler chaque jour avec l'administration.
C'est pourquoi, monsieur le ministre, je me réjouis de l'aboutissement de ce projet de loi qui s'inscrit dans le processus de modernisation de l'administration, dans la politique de simplification administrative et dans la mise en place de l' "e-government".
Ce sont des objectifs fondamentaux des déclarations gouvernementales de cette législature. Je me réjouis, de ce fait, que ce projet va entraîner une réelle simplification de la procédure administrative et surtout, pour toutes les personnes qui travaillent, un gain de temps appréciable pour toutes les entreprises, tant lorsque celles-ci démarrent que dans le cadre de leur activité courante. En effet, le principe de la collecte unique de données, par l'intégration des registres de commerce locaux et du registre de commerce central fera, vous en conviendrez tous, gagner un temps non négligeable aux entreprises; de même, la création de guichets uniques permettra de pouvoir s'adresser à un seul contact dans le cadre des relations avec l'administration.
En outre, l'efficacité des services publics sera également accrue par la création de la Banque-Carrefour car ils auront désormais toutes les informations actualisées à portée de main. Je tiens également à souligner un autre point qui me semble essentiel, il s'agit de la protection de la vie privée dont la sauvegarde est organisée dans le présent projet. Bij artikel 67 denk ik dat uw medewerkers een aantal aspecten over het hoofd hebben gezien. U zegt namelijk dat er, in vergelijking met die VZW-wetgeving, hier een probleem is. Dat is niet helemaal juist, want er is een nieuw artikel 32, waarin de Koning wel degelijk voor elk artikel van de VZW-wet bepaalt wanneer het in werking treedt. Artikel 32 houdt dus eigenlijk het probleem in dat u opwerpt. U zegt dat we in de nieuwe VZW-wetgeving zitten, maar dat de Koning zal bepalen welke onderdelen wanneer in werking zullen treden. Het probleem dat u aanhaalt, zou wel degelijk een probleem zijn als het nieuwe artikel 32 niet zou bestaan. Maar wij hebben dat wel degelijk ingevoegd.
Artikel 26 octies, §4, waarnaar u verwijst, is wel opgenomen, maar dat zit in het huidige ontwerpartikel 69, dus twee artikelen verder.
Ten slotte, de verhuis, zoals u dat noemt, wordt intern geregeld bij de inwerkingtreding van de VZW-wet, welke inwerkingtreding wij in artikel 32 bij koninklijk besluit wel degelijk kunnen treden.
Mijn laatste opmerking gaat over uw amendement bij artikel 86. Wij hebben het daarover in de commissie gehad. Er stond dat de koninklijke besluiten en de uitvoeringsbesluiten binnen de 12 maanden bekrachtigd moesten worden. Ik heb u meegegeven waarom ik dacht dat het goed zou zijn om daarvan 24 maanden te maken. Volgend jaar zitten wij in een verkiezingsjaar. De uitvoeringsbesluiten zullen in verschillende maanden na mekaar komen. Wij kunnen dan in een situatie komen waarbij een van de uitvoeringsbesluiten wordt genomen in mei. Op dat moment gaan wij naar de verkiezingen. Het Parlement wordt geïnstalleerd in oktober. Vooraleer er dan een wet naar voren wordt gebracht vanuit de nieuwe regering, zou het wel eens kunnen dat die 12 maanden niet meer worden gehaald, startende nu, met de inwerkingtreding van de wet.
Dus 24 maanden doet geen afbreuk aan het principe. Het lijkt me gewoon legistiek veilig te zijn om het op die manier aan te pakken.
Mijnheer de voorzitter, dat zijn mijn algemene opmerkingen en het is meteen ook mijn antwoord op alle amendementen waarvan ik op dit ogenblik kennis heb. Die amendementen zijn van mevrouw Pieters. Zo hoef ik terzake mijn antwoord niet meer te geven wanneer ze de amendementen toelicht. Ik verwelkom uiteraard haar toelichting. Ik kan die amendementen echter tot mijn grote spijt niet aanvaarden, behoudens de technische opmerking. Ik ben blij dat mevrouw Pieters die opmerking heeft gemaakt. Zo niet was er inderdaad een vergetelheid blijven bestaan in het ontwerp.
